Job Description

Respond to due diligence requests from lenders and investors, including gathering and organizing requested documentation from portfolio companies and internal firm resources. Manage know-your-customer (KYC) and anti-money laundering (AML) documentation processes, including collecting required identification documents, coordinating with client compliance teams, and tracking completion status. Research and analyze precedent financing transactions and current market terms for specific provisions as directed by senior attorneys and partners. Initial draft versions of ancillary transaction documents, including secretary's certificates, officer's certificates, and borrowing notices under supervision of senior associates. Input and incorporate comments from senior associates and partners into draft financing documents and circulate revised drafts to working groups. Create and maintain closing checklists, track status of transaction documents and deliverables, and coordinate with all parties to ensure timely completion of closing requirements. Collect and consolidate comments on draft documents from specialist practice groups, including tax, ERISA, and regulatory teams. Assemble and organize disclosure schedules to credit agreements, including coordinating with clients to gather required information and ensuring consistency with agreement provisions. Coordinate with local counsel in various jurisdictions regarding legal opinion requirements and facilitate review of draft opinions. Draft initial versions of substantive provisions in credit agreements and other financing documents, including representations, covenants, and events of default. Review and mark up drafts of financing documents received from opposing counsel and prepare issues lists for discussion with clients. Direct client communication regarding transaction status, minor business issues, and routine questions arising during documentation process. Lead negotiations with opposing counsel on ancillary financing documents and less complex provisions of primary credit documentation. Coordinate all aspects of the transaction closing process for financing transactions, including managing information flow between parties, overseeing junior team members, and ensuring satisfaction of conditions precedent. Serve as primary drafter and negotiator of credit agreements, intercreditor agreements, security documents, and other complex financing documents. Act as lead associate and primary day-to-day client contact on multiple financing transactions, managing all aspects of deal execution from term sheet through closing. Advise clients on current market trends in the leveraged finance market, including evolving lender protections, covenant packages, and regulatory developments affecting credit markets. Train junior and mid-level associates on financing transactions, including preparing training materials, conducting training seminars and providing guidance on transaction management. Participate in business development activities, including client presentations.Requirements:Juris Doctor, Master of Laws, or foreign academic equivalent. Five years of experience in legal matters involving private equity sponsors, corporate borrowers, and lenders in transactions including leveraged buyouts, first and second lien financings, fund facility lines, debt recapitalizations, asset-based credit facilities and liability management transactions. Experience in advising clients on the adherence of financing contracts with market terms in the U.S. syndicated loan or private credit markets.Experience managing junior lawyers and legal assistants in supporting the financing closing processes.Experience with representing private equity funds and corporate borrowers on leveraged buyouts, debt recapitalization and liability management transactions.Admission to New York State Bar.Salary offered: $365,000 - $435,000/year
