Funds Counsel

Long standing Boston based private investment firm is seeking a mid level Funds Counsel to join their growing team! Will be working directly with the GC and CCO as part of a lean legal/compliance team.3-7yrs. Fund formation experience needed.In office 4x weekly.This role will support the firm's fund formation, investment and regulatory compliance efforts. The ideal candidate will have a strong foundation in securities law, private equity structures, and investment operations, with the ability to collaborate across legal, compliance, and investment teamsKey ResponsibilitiesProvide legal support for fund formation, structuring, and investor documentation.Draft, review, and negotiate investment-related agreements, including subscription documents, side letters, and NDAs.Advise on securities law matters, including 1940 Act, Advisers Act.Support compliance with SEC, and other regulatory bodies, including disclosures and filings.Experience with managing major fund closings.Collaborate with investment professionals on deal execution and due diligence.Assist in managing outside counsel relationships and legal budgets.Contribute to internal policy development and training on legal and regulatory matters.
