About Variant InvestmentsVariant is a $3+ billion private credit asset manager focusing on niche asset-based lending transactions. Investment activity has a global reach and is centered in the fast-growing lender finance market. Variant manages three alternative income funds (interval and tender offer), one of which has a dedicated impact mandate. Founded in 2017, the firm is entrepreneurial and looking to add talent to its diverse team to accelerate strategic growth. Variant operates out of Portland, Oregon with remote workers around the U.S. Counsel Responsibilities Reviewing and negotiating documents, including but not limited to credit and collateral documentation, amendments, waivers, term sheets, proposal and commitment letters, intercreditor agreements, vendor contracts, servicing agreements and confidentiality agreements. Crafting and updating loan document templates.Researching and advising on various legal issues as needed, including but not limited to secured credit facilities and asset-based lending, commercial disputes, intercreditor issues, regulatory issues, human resource issues and privacy and business continuity risk issues.Conducting legal audits on investments, including but not limited to security, covenant tracking, monitoring, threshold limitations, insurance policies and maturity dates.Assisting with managing risks surrounding SEC priorities including but not limited to audits, risk and exam priority alerts and enforcement actions.Attending to workout and distressed situations as needed.Reviewing UCC filings and managing amendments/extensions as required.Coordinating with external counsel as needed.Coordinating on any compliance and operations matters requiring legal review and attention.Review press alerts and other public communications.Being responsible for corporate governance matters for the Adviser, and to the extent needed, for each of the Funds.Assist the General Counsel and the firm's Principals on firm initiatives. Job Requirements Minimum RequirementsJ.D. or L.L.M. from an ABA accredited law school.Active bar license in Oregon or ability to obtain a bar license upon employment. Current license in at least one jurisdiction is required.Three to five years of private credit experience at a reputable law firm, in-house legal department or analogous governmental position.Familiarity with the UCC, secured transactions, intercreditor issues and related concepts.Experience with complex, borrowing base asset-based credit facilities.Practical and business-minded with an ability to find creative solutions and compromise.Meticulous attention to detail and willingness to "get into the weeds" when appropriate.Excellent written and verbal communication skills, as well as analytical, problem-solving and decision-making skills.Ability to work independently and maintain a high degree of confidentiality. Project management skills, including the ability to successfully manage and prioritize multiple projects and deadlines.Ability to research obscure issues and operate under varying degrees of uncertainty.Experience at a reputable law firm or in-house legal department with relevant work experience.This position is located in Variant's headquarters in Portland, Oregon and reports directly to Variant's General Counsel.Additional Preferred QualificationsAdditional bar license in New York and/or California preferred.Familiarity with Registered Funds broadly, particularly interval funds and tender offer funds.Competency in one or more of the following practice areas:Registered Funds / Investment Company Act of 1940The Investment Adviser's Act of 1940Insolvency / BankruptcyCommercial LitigationVariant provides a competitive base salary with an annual bonus and a program that provides all employees the ability to share in the economic success of the firm.
