Our client, A high end boutique Banking and Finance Law Firm, is seeking a highly motivated and skilled Associate Attorney with 2-5 years of experience to join their team of talented lawyers representing lenders in complex loan transactions. The ideal candidate will possess a deep understanding of the documentation, regulatory issues, and intricacies involved in representing financial institutions such as banks in sophisticated lending matters.Key Responsibilities:Representing lenders in commercial, real estate, and corporate loan transactions, including structuring, drafting, and negotiating complex loan documentation.Advising clients on regulatory compliance and navigating the legal aspects of lending transactions.Managing the execution of loan agreements, guarantees, security interests, and other related documents.Handling legal due diligence in connection with loan transactions, including reviewing financial statements, titles, and collateral.Providing guidance on loan workout and restructuring, where applicable.Collaborating with clients, senior partners, and colleagues to ensure effective and timely transaction closings.Contributing to the development and growth of the firm's lender representation practice.Preferred Experience:Experience in affordable housing financing, particularly with HDC, HFA, and IRC Section 42 transactions.Knowledge of lending regulations and legal requirements at the federal and state levels.Qualifications:J.D. from an accredited law school.2-5 years of experience in representing lenders, with a focus on complex loan transactions.Strong understanding of loan documentation, credit agreements, and regulatory compliance matters.Familiarity with affordable housing transactions and deals financed with HDC and HFA bonds, including expertise in IRC Section 42 tax credit equity transactions, is a plus.Excellent analytical, drafting, and communication skills.Ability to work independently and as part of a team in a fast-paced, client-focused environment.Strong attention to detail, with a demonstrated ability to manage multiple matters simultaneously.Superior written and verbal communication skills are all required. JD required. NY Bar Admission required. Compensation includes salary ($160K-$220K), bonus and robust benefits package. Individuals with substantial growth potential should have a strong academic background and a minimum of ten years of real estate lending experience.J.
