Job Title: Transactional Business Attorney (Management Role) Reports To: Managing PartnerJob Summary: Frost Law, an Annapolis-based law firm with more than 30 attorneys, is nationally recognized for its work in tax, estate, bankruptcy, and business law. We are expanding our business transactional practice and are excited to offer a leadership opportunity for a driven and experienced attorney. This role is ideal for a business-minded legal professional who is not only adept at transactional work but also eager to grow a team and shape the department's future.As a Transactional Business Attorney in this management position, you will play a pivotal role in the continued growth of the firm's transactional practice. You'll oversee and mentor a team of attorneys and paralegals, while collaborating with firm leadership to execute strategic initiatives. The ideal candidate will combine technical legal acumen with a proactive and entrepreneurial mindset.Key Responsibilities:Draft, review, and negotiate a wide variety of commercial contracts, including vendor agreements, NDAs, service agreements, licensing deals, and partnership contracts.Advise internal stakeholders and clients on legal risks and business terms related to corporate transactions.Lead and support M&A activities including due diligence, deal structuring, and post-closing integration.Ensure compliance with corporate governance and regulatory requirements.Collaborate with cross-functional teams including finance, operations, and human resources.Manage, mentor, and supervise junior attorneys and paralegals within the transactional group.Develop and execute strategies to grow the business transactional practice.Manage and coordinate with external counsel as needed for specialized legal matters.Monitor and advise on changes in relevant laws and regulations that may impact the business and clients.Qualifications:Juris Doctor (JD) from an accredited law school and active bar membership in good standing.5+ years of experience in corporate and transactional law, preferably in a law firm and/or in-house legal department.Proven expertise in contract law, business transactions, and corporate governance.Previous management or team leadership experience strongly preferred.Strong negotiation, communication, and interpersonal skills.Ability to manage multiple projects in a fast-paced environment with a high level of autonomy.Entrepreneurial spirit and interest in growing a practice area within an established firm.Business acumen and the ability to provide pragmatic legal solutions.
