Crescent Real Estate LLC ("Crescent") is a real estate operating company and investment advisor withassets under management, development and investment capacity of more than $10 billion. Crescent'sunique fund structure allows the company to be strategic in timing, property type and the structure inwhich it invests. Crescent has a broad real estate investment mandate, but primarily invests in hotels,multifamily and office - both existing acquisitions and new development. Crescent invests alongsideinstitutional and ultra-high net worth clients in real estate and real estate related assets. Crescent hasmore than 110 employees and approximately $4.3 billion in assets under management.Crescent is currently looking for an enthusiastic transactional attorney to join our legal team in Fort Worth,Texas. You will be working directly with other members of the legal team, our asset managers, ourinvestment team and our corporate personnel to assist with the legal functions of our existing real estateinvestments as well as assisting with acquisitions and divestitures. You will draft and negotiate legaldocuments, advise the company as to legal compliance, and perform other aspects of a legal practice fora large real estate investment company. If you don't knowthe answer, you'll dig until you find it.• You communicate clearly and write well.• You are able to work unsupervised on multiple matters at the same time.• You are motivated and have a strong work ethic.• You are detail-oriented and organized.• You are approachable and enjoy working as a team.• You have a strong academic record.• You have strong working proficiency with the Microsoft Office suite of products.• Of course, you must have integrity and a strong sense of ethics.As Legal Counsel, typical routine activities might include the following:• Work with business team members in drafting, negotiating, reviewing, and interpreting contracts.• Review and interpret loan documents, joint venture agreements, confidentiality agreements andother agreements affecting the company's investments.• Work with other members of the legal team on entity-related matters, including resolutions andconsents.• Work with investor relations on subscription agreements and investor assignments.• Oversee outside counsel for litigation and select operational assignments. Direct such projectswith only periodic input and oversight from supervising attorney.• Gather information to formulate defenses to claims/lawsuits or to initiate legal action. Attendsettlement conferences and mediations with appropriate business people and outside counsel ifappropriate. Take an active role in such matters.• Draft internal/external communications, memos, and presentations with high levels ofprofessional institutional quality as directed.• Work with Finance, Accounting, Tax, Treasury, Records, Human Resources, and other corporatedepartments to address and resolve legal issues.• Participate in discussions in strategic meetings to discuss legal initiatives.• Perform any other job-related duties as assigned.You need to have:• Juris Doctorate (J.D.) or equivalent degree from an accredited law school.• At least 1-3 years' experience as an attorney, with one or more years' experience in real estate,and be familiar with a wide variety of concepts, practices, and procedures within general realestate field and some general law principles for other legal areas relevant to real estate andcorporate issues. Fund-related experience is a plus.• License to practice law and in good standing with the State Bar of Texas.You will also need to:• Have the ability to read, analyze and interpret complex documents and to respond effectively tothe most sensitive inquiries or complaints.• Be able to compose clear and well-reasoned correspondence and memoranda using properEnglish grammar and concise, efficient language, and to review and revise work product ofsubordinates, outside counsel, and other company representatives using same standards.• Have the ability to apply principles of logical thinking to a wide range of intellectual and practicalproblems with a variety of abstract and concrete variables.• Have the ability to analyze complex facts and legal issues and draw reasonable and defensibleconclusions.• Be able to formulate logical positions and arguments to promote and protect the interests of thecompany.• Rely on increasing experience and judgment to plan and accomplish goals. A significant degree ofcreativity and latitude is expected.• Have the ability to work with others, follow direction from management, and follow workplaceprocedures.
