The ideal candidate will provide essential support for attorneys working on mergers and acquisitions (M&A) and venture capital transactions for high-growth companies, startups, and investors.Please only apply if you have large law firm experience working M&A and VC Deals.Why join us?Medical Dental Vision401K PTOBonus OvertimeJob DetailsAssist in all stages of M&A and venture capital transactions, including due diligence, document drafting, and closing processes.Draft and review corporate documents such as resolutions, consents, stock certificates, and other legal filings.Assist with maintaining capitalization tables, managing stock ledgers, and ensuring accurate equity recordkeeping.Organize and manage data rooms, review corporate records, and summarize key findings for attorneys and clients.File formation and governance documents with state and federal agencies, including preparing Form D filings and Blue Sky compliance.Serve as a point of contact for clients, providing updates and assisting with routine corporate matters.Bachelor"s degree or equivalent experience required; paralegal certification is a plus.4+ years of corporate paralegal experience, preferably in M&A or venture capital.Strong understanding of corporate governance, equity management, and transactional workflows.Proficiency in legal research tools, Microsoft Office Suite, and equity management platforms such as Carta or Shareworks.Excellent organizational skills with an ability to manage multiple projects and deadlines.Exceptional communication and interpersonal skills to collaborate effectively with attorneys, clients, and team members.Interested in hearing more?
