Corporate Paralegal**• Corporate *• Enter operating agreements, by-laws, meeting minutes, resolutions, written consents in a central document repository; furnish to appropriate parties.• Attend designated committee meetings and prepare official records of minutes.• Attend board meetings and prepare official records of minutes.• Maintain official officer listings and corporate delegations of authority in the central document repository.• Update changes in officer authority in the appropriate company records.• Verify, prepare, and maintain Certificates of Officer Authority suitable for submission to companies, municipalities, and governing districts.• Verify, prepare, and maintain Certificates of Board Resolutions and Approvals.• Verify, prepare, and maintain Written Resolutions for officer appointments, elections, and approvals.• Confirm signature blocks for team members.• Serve as a resource for and assist with board packages, as needed.• Track and maintain the creation of entities, name changes, dissolutions, foreign qualifications, and changes in governance, updating the central document repository in a timely manner.• Maintain a shared folder and spreadsheet updated with all new entities; report additions on a quarterly basis.• Provide lists of entities scheduled for dissolution; follow up and enter information in the central document repository.• Proofread organizational agreements for accuracy prior to execution.• Maintain a summary spreadsheet of all board of managers and committee actions; furnish updates after each entry.• Provide team members with information for requesting bonds. With that information, prepare bond requests. Submit all requests for bonds to the bonding company. Maintain a real-time spreadsheet of current bonds, release letters, and riders. Save the spreadsheet monthly and maintain copies of all bonds, riders, and release letters.• Monitor a designated service for legal actions or threatened legal actions. Review complaints, answers, claims, requests for discovery, etc., upon receipt. Draft summaries of legal actions for monthly legal reports.• Prepare equity award agreements and co-investment subscription agreements for participant execution. Circulate to participants, furnish participants with executed copies, and file the executed documents in the appropriate HR folders.• Process external requests for information and research received via the website or external legal counsel.JOB REQUIREMENTS AND QUALIFICATIONSEducation and Experience*• Paralegal Certification and/or 5 years demonstrated experience in applicable state real estate law, corporate functions, and document preparation.• Excellent computer skills using standard office software (e.g., Outlook, Word, Excel).• Ability to establish and maintain good working relationships with colleagues and legal counsel.• Professional demeanor.**• Paralegal Certification.• 5+ years of paralegal experience.• Notary Public status.
