Overview:A leading Fortune 500 insurance company is seeking a Senior Corporate Counsel to join its dynamic legal team. This position will play a critical role in supporting the company's public company obligations and general corporate legal matters. The ideal candidate will have a strong background in corporate law, particularly within publicly traded companies or at a law firm with a focus on securities and corporate governance.Key Responsibilities:Provide legal counsel on securities law compliance, including drafting and reviewing periodic reports (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, and other SEC filings.Advise on corporate governance matters, including board and committee processes, charters, and policies.Assist with the preparation for annual shareholder meetings and liaise with internal stakeholders regarding public company disclosure obligations.Support the company's compliance with NYSE/Nasdaq listing standards and evolving securities laws and regulations.Partner cross-functionally with finance, investor relations, and compliance teams to ensure accurate and timely public disclosures.Contribute to corporate transactions, including M&A activity, joint ventures, and capital markets activity, as needed.Stay abreast of developments in securities laws and corporate governance best practices and provide guidance to relevant teams.Qualifications:J.D. from an accredited law school and admission to practice law in at least one U.S. jurisdiction.Minimum of 5 years of experience practicing corporate law, either in-house at a publicly traded company or at a law firm with a strong securities/corporate governance practice.Deep knowledge of U.S. securities laws, public company reporting requirements, and corporate governance.Exceptional written and verbal communication skills.Strong analytical skills and ability to work independently in a fast-paced environment.Experience in the insurance or broader financial services industry is a plus, but not required.
