The Corporate Legal Department focuses on commercial contracting, transactional work, public company reporting, corporate governance and entity management across the entire firm.High Compensation Role - Potential Availability to be a Remote Candidate - Must be East Coast Based - Occasional Office PresenceWhy join us?Medical Dental Vision 401K PTOJob DetailsResponsibilitiesCorporate entity formation and ongoing management, including preparing and organizing resolutions and minutes, and renewing and maintaining foreign qualifications, etc.Maintaining and updating corporate structure chartsGeneral overall management of contracts, including: coordinating, filing and maintaining contracts in the Company''s internal database as well as third-party contract management platform; managing incoming contract review requests; preparing summaries of contract statusPrepare and review confidentiality agreements based on forms, correspondence and other documents with attorney supervisionOrganizing and managing other legal records and documents, including the creation of spreadsheets and updates to summaries of informationAssisting with filings, processes and procedures with respect to the Company''s public company requirements, including: Maintaining officer and director stock ownership information; obtaining and maintaining EDGAR access codes; preparing and filing Form 3s, 4s and 5s, Schedules 13D and 13G forms reporting beneficial ownership and others; handling prospectus delivery notificationsPreparing insurance applications and managing claims reportingAssisting with all facets of corporate transactions, including organizing due diligence, preparing for transaction signings and maintaining closing document library and post-closing deliverable trackingCollaborate with cross-functional teams, including in assisting with responses to requests for information and KYC requestsProvide day-to-day support to the Corporate Legal team as neededSuccessfully complete special projects and other assignments as requiredQualificationsMinimum of 4 years of corporate paralegal experience (law firm and/or in-house)Bachelor''s degree required (paralegal certificate a plus)Notary certificate a plus, but not requiredExtremely motivated, persistent, resourceful and eager to learnStrong written and interpersonal skills with a team-player attitude, highly professional, laser-focused attention to detail and accuracy, excellent analytical skills, organizational skills and ability to prioritize and multi-task to meet short deadlines with minimal supervisionStrong computer skills, including proficiency in Microsoft Office suite and familiarity with online management platforms (e.g., data rooms, document management systems)Entrepreneurial spirit undaunted by the unpredictable, the unfamiliar or the unstructuredIf successful, will have the opportunity to grow within the organization and take on greater responsibilitiesInterested in hearing more?
