What You'll DoTHIS POSITION IS NOT ELIGIBLE FOR VISA SPONSORSHIPWhat You/'ll Do :The Principal, Assistant General Counsel, will provide legal counsel to internal business stakeholders on both routine and complex matters regarding legal risk and specifically regulations applicable to OCC and OCC's By-Laws and Rules. This role also is responsible for drafting rule filing assessments and other regulatory related documents and memoranda, drafting rule filings, interacting with internal business teams and working groups, and interacting with various third parties including exchanges and regulatory authorities.Primary Duties and ResponsibilitiesProvide legal and regulatory support to business partners including, but not limited to, drafting rule filing assessments and rule filings, legal memoranda, and other documents; reviewing documents to help ensure accuracy, consistency, and overall quality; and other necessary actions to provide thorough legal advice to business partners.Act as subject matter expert for the legal function by providing specialized legal and regulatory advice to internal stakeholders on a variety of matters, including areas of regulations applicable to financial risk management, new products, membership standards, disclosures, and other regulatory matters relevant to central counterparties that are systemically important financial market utilities.Participate in internal working and other governance groups to provide regulatory and general corporate governance advice; take notes to document working group proceedings as terpret and advise internal stakeholders on OCC/'s By-Laws and Rules, and any policies and procedures promulgated thereunder; advise internal stakeholders on regulatory and legal matters related to federal securities and commodities laws promulgated by the SEC, CFTC, the Board of Governors of the Federal Reserve System, and the Financial Stability Oversight Council.Assist with management of relationships with internal and external stakeholders including senior management, Board of Directors, and regulators, including the SEC, the CFTC, and the Board of Governors of the Federal Reserve System, as necessary.Assist in ensuring business initiatives are in compliance with current and proposed regulatory requirements.Assist with the supervision of, and work closely with, outside counsel, as appropriate.Perform other duties as required.Supervisory Responsibilities: NoneQualifications8+ years of practice in one or more of the following areas: domestic securities and commodity laws, regulations, and other regulatory guidance.Experience working with or for regulatory agencies or regulated financial institutions.General working knowledge of the clearance and settlement and risk management functions of a clearing organization. (Preferred)Ability to promptly produce high-quality, accurate, and detailed work product.Excellent analytical and problem-solving, interpersonal and communication, and collaboration skills.Capable of handling several substantial medium to high complexity matters with a significant degree of independence.Excellent writing skills.Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with good business practices and reason and to quickly shift priorities in response to changing and high-pressure business environment or priorities.An ability to communicate complex and technical issues to diverse audiences, orally and in writing, in an easily understood, authoritative, and actionable manner.Ability to cultivate and build collaborative working relationships with a broad range of enterprise stakeholders, both internal and external.Education and / or Experience :Juris Doctor (JD)Certificates or Licenses :Licensed to practice law in Illinois or Washington, D.C.About UsThe Options Clearing Corporation (OCC) is the world/'s largest equity derivatives clearing organization. If hired at OCC, your final base salary compensation will be determined by factors such as skills, experience and / or addition, we believe in the importance of pay equity and consider internal equity of our current team members as part of any final offer.We typically do not hire at the maximum of the range in order to allow for future and continued salary growth. Discretionary bonuses are based on various factors, including, but not limited to, company and individual performance and are not guaranteed.Salary Range187,700.00 - $261,700.00Incentive Range23% to 30%This position is eligible for an annual discretionary incentive compensation award, for which the target range is listed above (see Incentive Range ).
