Our mission is to save lives and improve patient care by providing our customers with innovative solutions.Position SummaryWe’re seeking an innovative, driven and results oriented individual to join our dynamic team as Legal Counsel. Ambu’s Legal Counsel will play a key role in finding solutions which balance legal and commercial interests. This individual will support Ambu’s Commercial Operations; mainly related to US contracts, commercial operations, and compliance matters. This role is a great opportunity for a lawyer with a passion for medical technology/ healthcare industry that has excellent problem-solving skills, and an ability to thrive in a dynamic environment.ResponsibilitiesDraft, review and negotiate contracts i.e., customer agreements, distribution agreements, GPO contracts, non-disclosure agreements, letters of intent, supply agreements, vendor agreements, consulting agreements, IT agreements, and clinical study agreements.Develop and maintain agreement templates in collaboration with relevant stakeholders from the business.Act as first point of contact on various legal matters relating to contracts (including government contracts), corporate governance, marketing law, compliance and various other areas as needed.Partner as needed with global legal department at Ambu HQ in Copenhagen.Support Sales teams in reviewing customer agreements, Requests for Proposals (RFP) and other forms of contracts for Ambu products.Preparing, communicating, and negotiating exceptions to proposed contract terms within corporate guidelines, where applicable, and assisting ancillary information requests related to contractual and business matters.Monitor the contract process utilizing contract management platform to assure compliance with the organization's contractual guidelines, including participation in pre-contract discussions, contract negotiations and contract changes.Ensure that Sales Contracts follow legal, regulatory and organization policies.Contribute to team-level operations through virtual engagement toward continuous improvement initiatives and process support.Become a trusted advisor and business partner across the company by assisting and advising the business and internal constituents.Provide support for additional project and initiatives as assigned.QualificationsJD degree from an accredited law school and 3-5 years of experience with legal counseling either from a law firm or as in-house legal counselLife Sciences experience desired – Medical Device Industry experience a bonusExcellent communication skills needed to interface with sales team, cross-functional teams, and external customers.Ability to work effectively without losing sight of details and qualityAble to handle advanced legal issues in a pragmatic, solution-oriented mannerHigh integrity and strong interpersonal skillsAbility to work independently and manage multiple projects simultaneously, while consistently delivering professional and constructive solutionsExcellent negotiation and drafting skills with the ability to support sales organizations and guide diverse teams through complex, time-sensitive negotiations and projects.Strong contract reading comprehension and interpretive skills with the ability to analyze legal terms and concepts in relation to the business needs.Strong work ethic and ability to multi-task, prioritize, and follow-through on numerous projects.Willingness to assume responsibility and adaptability for the role, including problem-solving independently and while displaying a sense of urgency to the business.Demonstrated ability to drive change in an organization through enhancement of existing processes and procedures.AAP/EEO StatementAmbu provides equal employment opportunities to all employees and applicants for employment and prohibits discrimination and harassment of any type without regard to race, color, religion, age, sex, national origin, disability status, genetics, protected veteran status, sexual orientation, gender identity or expression, or any other characteristic protected by federal, state or local laws.About AmbuAmbu has been bringing the solutions of the future to life since 1937.
