Legal Counsel - IP Transactions

Change the world. Love your job.TI’s legal department is seeking a highly skilled and motivated In-House Counsel – IP Transactions to join our legal team. The ideal candidate will have a strong technology background with deep experience in intellectual property transactions, including structuring and negotiating complex technology agreements involving both hardware and software. This role will partner with cross-functional teams including commercial attorneys, engineering, product management, sales, and business development to support the company’s goals and mitigate risk.Key Responsibilities:Draft, negotiate, and manage IP-related agreements including:Inbound and outbound software and hardware licensesIP indemnification clauses and risk allocation provisionsJoint development and collaboration agreementsOpen-source licensing compliance and strategyTechnology transfer, SaaS, cloud services, and OEM agreementsSupport and manage a wide range of IP-related matters, such as:Advising on participation in and contributions to standards bodies, including IP rights disclosure and licensing obligationsSupporting M&A and corporate development activity from an IP diligence and integration perspectiveSupporting adverse matters, indemnity requests, trade secret protection, and suspected infringement/copyingCollaborating with outside counsel as needed for specialized matters.Stay current on evolving IP law, IP enforcement, and technology law, and educate internal stakeholders. #J-18808-Ljbffr
