This position offers the opportunity to work on complex transactions representing private equity sponsors, strategic buyers, and portfolio companies in a variety of domestic and cross-border deals. The ideal candidate will bring strong corporate transactional experience and the ability to manage fast-paced, high-profile matters.Location:Duties:Advise clients on mergers, acquisitions, divestitures, recapitalizations, and joint venturesRepresent private equity sponsors and portfolio companies in leveraged buyouts and exit transactionsDraft and negotiate key deal documents, including stock and asset purchase agreements, shareholder agreements, and ancillary contractsOversee and conduct due diligence reviews and coordinate integration planningCollaborate with colleagues in tax, regulatory, finance, and other relevant practice areasManage deal timelines, communications, and closing processesRequirements:3 to 6 years of experience in corporate M&A or private equity at a major law firmExperience working with private equity funds and strategic acquirers preferredFamiliarity with deal structuring, term sheets, and risk allocation conceptsAbility to independently manage aspects of transactions from initial stages through closingEducation:Juris Doctor (JD) from an accredited U.S. law schoolStrong academic performance requiredCertifications:Admission to the bar in at least one U.S. jurisdiction (California preferred)Skills:Excellent drafting, negotiation, and legal analysis skillsStrong project management and organizational capabilitiesCommercially minded with a client-service orientationAbility to handle multiple matters efficiently in a fast-paced environmentStrong communication skills and attention to detailCompetitive base salary aligned with experience and firm standardsComprehensive benefits package including health coverage, retirement options, and ongoing professional development resourcesCompany info #J-18808-Ljbffr
