OverviewAssistant General Counsel – Private FundsLocation: Austin, TX (Hybrid)Type: Permanent, Full-TimeWe’ve been engaged by an Austin-based company that is hiring a new Assistant GC, a role that will blend sophisticated private funds work with a genuine focus on work–life balance.The role involves private fund formation and structuring (drafting and negotiating PPMs, LPAs, subscription agreements, side letters), advising on Advisers Act compliance, and providing ongoing legal support to a large and diverse fund platform. This person will work directly with the GC and collaborate across business, operations, and compliance teams.What sets this role apart is the culture - 27 days of PTO, excellent benefits, and a true commitment to balance: no nights or weekends, and a steady 40-hour work week. We placed the GC/CCO at this company 10 years ago, and this is a new role due to growth, with the ability to work remotely at least two days a week and competitive compensation that includes participation in a long-term incentive plan.ResponsibilitiesDraft, review, and negotiate fund offering and governance documents (PPMs, LPAs, subscription agreements, service provider contracts)Advise on fund launches, capital raising, and ongoing investor matters (side letters, co-investment arrangements, communications)Partner with business and operations teams to ensure smooth fund formation and compliance processesProvide guidance on U.S. securities laws, with a focus on the Investment Advisers Act; experience with the Investment Company Act and CEA is a plusSupport U.S. and global compliance requirements (SEC, CFTC, AML/KYC, etc.)Assist with financing and trading documentation (LSTA/LMA, ISDA, GMRA)Track and interpret legal/regulatory developments impacting the private funds industryCoordinate with outside counsel on specialized or cross-border issuesQualificationsJ.D. and admission to practice in at least one U.S. jurisdiction4–8 years’ experience in-house at an asset manager OR at a top law firm working with private fundsStrong track record drafting and negotiating fund documentsSolid understanding of U.S. securities laws (Securities Act, Exchange Act, Advisers Act)Excellent communication and project management skillsAbility to work collaboratively in a fast-moving, cross-functional environmentBonus: experience with syndicated loans, derivatives, or prime brokerage agreementsLawyer who currently resides in or is willing to relocate to Austin, TexasBenefitsYou’ll get the chance to work on complex, interesting matters with a company that values work/life balance as much as results.
