Associate General Counsel

With the supervision of the General Counsel, the Associate General Counsel is responsible for providing advice and counsel to CNE and its affiliates on a wide range of compliance, regulatory, operational and transactional matters.The Associate General Counsel will be responsible for collaborating on the legal aspects of the health system’s operations, including enterprise risk management; regulatory and compliance issues; privacy matters, commercial, government and physician contracts; intellectual property and research related matters; corporate governance; real estate; and mergers and acquisitions.RequirementsMinimum of 5 years of experience as a practicing attorney in a mid-to-large law firm or an in-house counsel legal department, providing advice and counsel to hospitals, health systems and/or physician organizations.Juris Doctor from an ABA accredited law school and outstanding academic credentials.Licensed to practice law in at least one state and in good standing in all states where admitted. Member of Rhode Island bar or eligible for admission within one year. Potential to waive this requirement for appropriate candidate if eligible for limited in-house registration in Rhode Island.Working knowledge of federal and state laws relating to healthcare, including Stark Law, Federal False Claims Act, Federal Anti-Kickback Statute, EMTALA, HIPAA and Joint Commission standards, as well as knowledge of applicable non-profit laws.Substantial experience in contract drafting, review, negotiation, and management.Demonstrates superior interpersonal skills, interest in having a broad-based practice, and interest in and ability to learn new areas of the law.Excellent oral and written communication skills.High degree of personal integrity, sound judgment, and a commitment to accountability.Demonstrates ability to manage multiple tasks and initiatives; ability to prioritize and to provide comprehensive legal advice without the need for close supervision.Ability to work collaboratively in a small legal department.Job SummaryDrafts, reviews, and negotiates a wide range of contracts relevant to CNE’s business and operations, including professional services agreements; clinical affiliation agreements; technology-related agreements; real estate leases; payor agreements; and miscellaneous vendor agreements.Prepares, reviews and negotiates pre-clinical and clinical research related agreements, including clinical trial agreements, collaborative research agreements, material transfer and data use agreements. Provides legal support to the health system’s research accounting and administration departments and the hospital IRBs.Provides guidance and counsel on practice acquisitions, joint ventures and strategic and clinical affiliations, including review of due diligence materials, drafting and negotiating transaction documents, and ensuring compliance with applicable regulatory, licensing and CON requirements.Provides advice on issues involving fraud and abuse, regulatory compliance, hospital and medical licensure, and tax exempt status.Assists with responses to subpoenas, court orders and other regulatory requests for information.Drafts and reviews policies and procedures to ensure compliance with applicable laws and regulations.Assists with the development, review and revision of legal forms and processes designed to streamline matters requiring recurring legal involvement.Participates in various meetings throughout the health system, offering advice and counsel to clients on legal matters as they arise.Develops and delivers education on areas of responsibility.Manages and directs services of outside counsel and other municates and acts in accordance with CNE’s mission and values.Performs other duties as assignedAdditional Information:Americans with Disability Act Statement: External and internal applicants, as well as position incumbents who become disabled must be able to perform the essential job-specific functions either unaided or with the assistance of a reasonable accommodation, to be determined by the organization on a case-by-case basis.EEOC Statement: Care New England is an equal opportunity employer.
