This career site is for external applicants only.This role will support and assist the Chief Legal and Administrative Officer and Deputy General Counsel on securities law and corporate governance matters and support the Company's SEC reporting and corporate governance functions.Job Duties and Responsibilities:Assist with the preparation of SEC filings, including Forms 10-K, 10-Q, and 8-KEnsure Section 16 compliance, including preparation of Section 16 filingsAssist with capital markets and related financing transactionsAdvise on applicable corporate governance matters, including SOX, Dodd-Frank, Nasdaq regulations and Delaware lawPreparing materials associated with annual stockholder meetings, including proxy statements and related documentationStay current on external governance trends and SEC and Nasdaq developmentsRequired Qualifications:Juris Doctorate degreeActive Member in good standing with the Texas BarAt least 5+ years of relevant SEC reporting and securities law compliance and advisory work, either in-house with a public company or with AmLaw 100 law firmIn-depth knowledge of corporate and securities law (particularly SEC/Nasdaq rules and regulations).Ability to professionally manage confidential information.Highly organized and able to work both independently and as a member of a team.Strong business acumen and ability to advise on business-related legal issues and understand business consequences of legal advice.Excellent written and verbal communication skills, attention to detail, good business judgment and the ability to handle multiple projects at one time.
