You'll find a collaborative team of coworkers and providers, as well as consistent hours.The Corporate Counsel, M&A will be a key member of Gastro Health’s legal team with primary responsibility for supporting the company’s development and expansion activities. This position will focus on structuring, negotiating, and executing mergers and acquisitions, joint ventures, and related physician practice growth transactions, while also advising internal stakeholders on deal strategy, risk management, and compliance considerations.This role offers:A great work/life balanceNo weekends or evenings – Monday thru FridayPaid holidays and paid time offRapidity growing team with opportunities for advancementCompetitive compensationBenefits packageDuties you will be responsible for:Lead legal support for acquisitions, affiliations, and joint ventures involving physician practices and related entities.Draft, review, and negotiate a wide variety of complex healthcare and corporate transaction documents, including purchase agreements, management services agreements, employment agreements, governance documents, and related contracts.Provide practical, business-oriented legal advice to the development team and executive leadership regarding deal structure, regulatory risk, and transaction strategy.Collaborate cross-functionally with finance, operations, compliance, HR, and integration teams to support successful transaction execution and post-closing integration.Manage outside counsel in connection with M&A and other strategic transactions.Assist with due diligence processes, including regulatory, corporate, and contractual review.Support business stakeholders in negotiating key economic and operational terms.Ensure transactions comply with healthcare regulatory requirements, including fraud and abuse, anti-kickback, Stark Law, and HIPAA.Contribute to the continuous improvement of legal processes, templates, and playbooks for M&A transactions.Assist the General Counsel on complex or enterprise-level legal matters as needed.Knowledge & Skills:Transaction execution and deal leadership.Strong understanding of healthcare regulatory environment.Practical, solutions-driven legal advice.Ability to build consensus across stakeholders.High attention to detail while maintaining a business mindset.Minimum requirements:Juris Doctor (JD) from an accredited law school.Active membership in good standing with a state bar.5–10+ years of relevant legal experience in a law firm and/or corporate legal department, with significant exposure to mergers and acquisitions.Prior experience in healthcare services transactions strongly preferred.Strong knowledge of healthcare regulatory laws, including anti-kickback statute, Stark Law, fraud and abuse, and HIPAA.Demonstrated ability to independently lead transactions from LOI to closing.Excellent drafting, negotiation, and communication skills.Business-oriented problem solver with strong judgment and ability to manage competing priorities in a fast-paced environment.Self-starter with proven ability to work both independently and collaboratively.We offer a comprehensive benefits package to our eligible employees:401(k) retirement plans with employer Safe Harbor Non-Elective Contributions of 3%Discretionary profit-sharing contributions of up to 4%Health insuranceEmployer contributions to HSAs and HRAsDental insuranceVision insuranceFlexible spending accountsVoluntary life insuranceVoluntary disability insuranceAccident insuranceHospital indemnity insuranceCritical illness insuranceIdentity theft insuranceLegal insurancePaid time offDiscounts at local fitness clubsDiscounts at AT&TAdditionally, Gastro Health participates in a program called Tickets at Work that provides discounts on concerts, travel, movies, and more.Gastro Health is the one of the largest gastroenterology multi-specialty groups in the United States, with over 130+ locations throughout the country.
