Our pipeline of products is growing and so is our team; join us in helping to revolutionize precision heartcare.Heartflow is a publicly traded company (HTFL) that has received international recognition for exceptional strides in healthcare innovation, is supported by medical societies around the world, cleared for use in the US, UK, Europe, Japan and Canada, and has been used for more than 400,000 patients worldwide.Job OverviewThe Corporate Counsel is responsible for assisting the Chief Legal & Compliance Officer in managing the many and varied legal affairs of Heartflow, Inc., including drafting and negotiating commercial and vendor agreements, assisting in commercial dispute resolution, regulatory and healthcare compliance questions, supporting SEC compliance, corporate transactions and governance, and labor and employment issues.At Heartflow, we value integrity, hard work, continuous learning and improvement, diversity and inclusion. For the legal and corporate compliance function, attention to detail and dedication to supporting the company’s mission is a fundamental requirement.Job ResponsibilitiesDrafting and reviewing contracts including customer agreements, vendor agreements, license agreements and other legal documentsNegotiating contract terms with customers, vendors, and other partiesProviding legal advice on contract interpretation and obligationsEnsuring compliance with all applicable laws and regulations, including supporting the compliance and privacy department with respect to legal questionsResolving any contract-related disputes or issuesAdvising on legal matters in support of internal stakeholdersCollaborating with cross-functional teams to execute legal strategyAssist in the drafting and reviewing SEC filings and providing support to the corporate governance functionSupporting the HR function, including labor and employment issuesSkills NeededExperience in in-house legal work in the healthcare industryExceptional negotiation and communication skillsDemonstrated ability to manage multiple contracts simultaneously and to work cross-functionallyFamiliarity with industry-specific contract regulations and standardsAdvanced understanding of contract law and commercial termsStrong analytical and problem-solving abilitiesExcellent written and verbal communication skillsAttention to detail and a meticulous approach to reviewing documentsAbility to work independently and as part of a teamProficiency in legal research and writingEducational Requirements & Work ExperienceJuris Doctor (JD) degree from an accredited law schoolActive license to practice law in the relevant jurisdiction, or pending bar admissionMinimum of one year of experience as a contracts attorney or in a related legal role such as an internship or law clerkExperience with contract management / lifecycle software, such as IronCladThis position has an estimated base salary of $140,000-$160,000 and cash bonus.Heartflow is an Equal Opportunity Employer.
