Build your career at Planet—recognized as a Top Mortgage Employer by National Mortgage Professional.Job SummaryThe VP Associate General Counsel serves as primary legal support for all complex finance, mortgage servicing, securitization, vendor, corporate organization and other complex transactions. This position plays a crucial role in advising on legal matters related to complex mortgage and finance-related transactions. This position leverages in-depth knowledge of relevant laws, regulations, and industry best practices to ensure the company operates within the boundaries of the law while achieving business objectives.Essential Duties and ResponsibilitiesContract Negotiation and Review: Drafts, reviews and edits complex mortgage industry related contracts including servicing, sub-servicing, MSR sale, ESS, asset purchase, warehouse lines of credit, bond issuance, securitizations, Letters of Intent, vendor (MSA and SOWs), and other contracts with third parties.Advises senior leadership on various structures and deal-terms with understanding of industry standard requirements for related agreements.Corporate Governance: Assists with corporate governance matters, including board meetings, governance policies, corporate resolutions, and other corporate requirements.Mergers and Acquisitions (M&A): Provides legal guidance on M&A transactions, including due diligence, negotiations, and post-merger integration.Performs other duties as assignedPosition RequirementsEducationJuris Doctor (JD) degree from an accredited law school and admitted to the bar in the relevant jurisdictionExperienceMinimum 10 years experience practicing law, with a focus on complex mortgage industry-related matters, such as servicing, sub-servicing, MSR sales, warehouse lines of credit, bonds, securitizations, vendor (MSAs and SOWs) contracts, as well as corporate formation and resolutionsFunctional/Technical SkillsStrong knowledge of federal and state laws and regulations related to the mortgage industry.Proven ability to provide strategic legal advice to senior management and navigate complex legal issues.Experience managing legal teams and external counsel.Excellent communication, negotiation, and presentation skills.Ability to work collaboratively across departments and with external stakeholders.Strong analytical and problem-solving abilities.
