Learn more about our flexible approach to where we work.OverviewAbout the RoleWe are seeking a highly skilled and experienced Corporate Counsel to join our dynamic Legal team, focusing on Mergers & Acquisitions (M&A), corporate compliance, and entity management. In this role, you will support strategic transactions, compliance programs, and entity management, while collaborating with cross-functional teams to help build a strong, scalable legal framework. You will work closely with teams across the organization, including Corporate Development, Finance, Tax, Compliance and Human Resources, to address complex legal matters and deliver practical, business-oriented solutions.About The TeamInstacart’s Legal Team provides top-notch service and counseling to various parts of Instacart’s business. We are looking for highly motivated teammates who are ready to dig in and hit the ground running.About The JobAs Corporate Counsel, your responsibilities will include:Advise and execute on M&A transactions, including due diligence, structuring, drafting, negotiating, and closing acquisition agreements as well as post-closing integration activities.Advise and execute strategic investments, and other strategic transaction-related matters.Support development and implementation of compliance and ethics programs in collaboration with Compliance and HR teams.Oversee corporate governance and compliance matters for domestic and international subsidiaries, including entity formation, maintenance, and dissolution.Develop strong relationships with cross-functional teams, including Corporate Development, Finance, Tax, Compliance and Human Resources.Work efficiently with outside counsel as required.Support special projects as needed.About YouWe are looking for candidates who bring strong expertise in M&A and other strategic transactions combined with a desire to expand into compliance and governance work.Minimum QualificationsJ.D. degree from an accredited law school and admission to at least one U.S. jurisdiction (California preferred).5+ years of M&A experience, with significant law firm or in-house experience and experience advising on strategic terest in corporate compliance and ethics, with a willingness to develop training programs and processes.High level of initiative, flexibility, and adaptability to meet a variety of challenges and priorities.Excellent business judgment with a capacity to make decisions and provide advice.Excellent interpersonal skills with high initiative, flexibility, and a team-first approach.Advanced analytical ability, attention to detail, strong organizational skills, and ability to thrive in a fast-paced environment.Ability to effectively communicate complex legal and compliance issues clearly and conciselySelf-motivated, proactive, and adaptable, capable of prioritizing and managing multiple projects.Willingness to roll up sleeves and collaborate cross-functionally.Ability to participate in strategy and operational goal development, working closely with business units.Positive attitude, good humor, high empathy, and composure in challenging situations.Preferred QualificationsExperience in corporate compliance and ethics programs, including training implementation and policy design and/or entity management (domestic and international).In-house legal experience in a corporate legal department, especially at a consumer-facing and/or technology stacart provides highly market-competitive compensation and benefits in each location where our employees work. This role is remote and the base pay range for a successful candidate is dependent on their permanent work location.
