If you want to make a difference, be part of a great team and grow, you might be a perfect fit.About The JobWe currently have an exciting opportunity for an attorney to join our Corporate Legal team as VP, Contracts Counsel. This individual will provide legal counsel and support in connection with all corporate activities, including but not limited to, strategic agreements in areas that include trademark licensing, foreign manufacturing, marketing, and joint ventures, litigation and corporate compliance.What You’ll DoSupport and provide strategic advice to the executive leadership on legal and contracting matters to align legal strategy with the company's growth plans and business objectivesCollaborate cross-functionally with all areas of the businessOversee all commercial and corporate contracts and manage the Company’s contract portfolio in areas including trademark licensing, foreign manufacturing, supply chain, technology, marketing, financing, and partnerships/joint venturesStructure, draft, review, and negotiate all contracts and provide commercial-minded advicePartner with Procurement, Finance, IT, HR, and other departments to negotiate, review and draft all commercial agreements entered into by the Company and its brands including ecommerce, software licensing, SaaS, logistics, vendor, supplier, and service level agreements (e.g., staffing/independent contractor, and consulting)Manage and support leaders with the contract management policy and other contract platformsDevelop, maintain, and implement standard contract templates, forms, and policies to develop a contracts playbook to ensure efficiency, scalability, and complianceSupport general corporate matters by preparing or reviewing a variety of organizational documents (e.g., dissolutions, secretary certificates, foreign power of attorney, partnership and/or LLC agreements, promissory notes, guarantees, waivers, releases, etc.)Participate in the definition and development of policies, procedures and programs, and provide continuing counsel and guidance on implications of all legal mattersSkills, Abilities, Experience & QualificationsJD from an accredited law schoolMembership with good standing in at least one U.S. State Bar15+ years of legal practice experience; in-house legal experience preferredCapable of interacting with, and establishing the respect and confidence of, senior business leadersAbility to influence and provide timely and effective legal and business advice and support at all organizational levelsDemonstrated ability to manage a high volume of matters, work well under pressure, prioritize multiple assignments, and meet deadlinesBusiness-oriented problem solver and flexible team player, with ability to partner across departments to enable business effectivelyAbility to analyze complex matters and propose creative and practical solutions, even in ambiguous situationsStrong interpersonal, written, and verbal communication skills to interface with individuals at various levelsProfessionalism, judgment, integrity, and confidentialityNote: You do not need to qualify for all requirements to be considered. Bonus opportunities include a 30% Annual Incentive Plan (AIP) and a 30% Long Term Incentive Plan (LTIP) paid according to policy. Base pay is location-based and may be subject to applicable wage laws.Note: To perform this job successfully, an individual must be able to perform each essential duty satisfactorily.
