The plate is yours - step up and own it.Who We’re Looking ForAs Legal Counsel at Batbox, you’re a versatile problem-solver and trusted advisor who thrives at the intersection of business and law. You’re not just reviewing contracts – you’re laying the legal foundation that protects our brand, and enables Batbox to scale nationally and internationally.Based in Dallas and reporting to the Chief Executive Officer, this hybrid role spans contract drafting, corporate governance, intellectual property, compliance, and strategic transactions. You’ll draft licensing and partnership agreements, safeguard our IP, support entity management across the U.S. and LATAM. Grounded in Batbox’s core values – Be a Good Human, Amp the Experience, Lead Together, and Level Up – you bring a legal lens, detail and governance to our expanding ecosystem.Your ImpactContract Drafting & ReviewDraft and review a wide range of commercial agreements, including:Licensing agreements (domestic and international)Brand partnerships and sponsorship dealsVendor, service, and installation contractsVenue leases, management agreements, and strategic alliancesManage redlines and coordinate with internal stakeholders and Jackson Walker LLP as needed.Corporate Governance & StructureSupport entity management across Batbox Holdings, Batbox Simulators LLC, and all U.S./LATAM subsidiaries.Prepare board consents, resolutions, and ensure corporate documentation is properly filed and archived.Assist with corporate structuring and reorganization projects as the company expands across states or tellectual Property & Brand ProtectionCoordinate registration of trademarks, patents, and copyrights across the U.S. and LATAM.Work with external IP counsel to protect software, gameplay elements, brands, and content.Monitor and enforce IP protection policies and brand usage pliance & PoliciesEnsure all core policies and legal documents are up to date, including:Privacy policyWebsite terms & conditionsBooking terms & waiversLicensing program documentsMaintain and evolve legal templates and frameworks across all business lines.Support compliance with U.S. employment, consumer, tech, and advertising laws.Labor & Employment SupportProvide legal guidance and support to the Chief People Officer on matters related to compliance, employee relations, and other workforce issues.Coordinate with JW on any employment-related legal issues or disputes.M&A, Fundraising & Strategic TransactionsSupport the CEO and executive team in reviewing and coordinating:M&A transactions and spin-offsFundraising rounds (SAFEs, convertible notes, equity)Debt and credit agreementsHelp manage NDAs, data rooms, cap tables, and legal diligence materials.Legal Coordination & StrategyAct as the internal bridge between Batbox and Jackson Walker LLP.Manage and prioritize all inbound legal matters from across the organization.Own legal operations workflows, maintain visibility on key matters, and help the company operate efficiently and in compliance.Keys to SuccessHave 5+ years of legal experience in a law firm or in-house environment (corporate, transactional, or commercial).Are confident in drafting and negotiating agreements independently.Have a strong understanding of legal frameworks around licensing, branding, venue operations, and intellectual property.Possess working knowledge of U.S. labor and employment law (Texas experience preferred).Can navigate cross-functional environments and coordinate between legal and business teams.Are fluent in English (Spanish proficiency is a big plus).Are detail-oriented, organized, and thrive in a high-growth, fast-paced environment.Are excited to help build the legal foundation for a company scaling nationally and internationally.What We Offer$110,000 - $140,000 USD base salary, depending on experience and qualificationsHealth, dental and ancillary benefit optionsAnnual paid time off and paid company recognized holidaysOpportunity to work remotely for 1 out of 5 days a weekBe part of a rapidly expanding brand with plenty of room for advancement.Work in a one-of-a-kind environment where everyday is legendary #J-18808-Ljbffr
