Description PrimeLending is looking to hire an Assistant General Counsel. We are seeking a highly skilled and strategic Assistant General Counsel (AGC) to join our Legal team. The AGC will play a key role in supporting the company’s nationwide retail mortgage lending operations by providing practical legal guidance, ensuring compliance with federal and state regulations, and managing risk across the business. The Assistant General Counsel will lead a team of Paralegals and administrative staff and serve as a key advisor to senior leadership, ensuring legal integrity and operational excellence throughout the organization. This position partners closely with Compliance, Operations, Sales, Licensing, Servicing, and Secondary Marketing while also serving as a point of contact with regulators, investors, government-sponsored enterprises (GSEs), and outside counsel. Responsibilities Provide legal counsel on broad range of matters, including, but not limited to, mortgage origination, servicing, secondary market transactions, and regulatory compliance. Draft, review, and negotiate complex contracts with vendors, investors, and business partners. Advise on compliance with RESPA, TILA/Reg Z, ECOA/Reg B. HMDA, SAFE Act, state licensing, and all other state and federal business-related regulations. Independently identify and resolve legal and policy issues, implementing effective solutions. Support the PrimeLending Board of Directors, including acting as Company Assistant Secretary. Monitor and interpret evolving laws and regulations impacting the mortgage and financial sectors. Identify, assess, and mitigation legal and regulatory risks affecting mortgage operations. Build and maintain strong relationships with internal clients and external partners. Manage relationships with outside counsel and legal service providers. Lead and oversee legal matters as assigned by the General Counsel. Manage litigation, borrower disputes, and the Legal Questions mailbox. Supervise and mentor team members to meet productivity, quality, and performance goals. Partner and communicate effectively with internal and external stakeholders, including senior leadership. Perform other duties as assigned. Qualifications Juris Doctor (J.D.) from an accredited law school; active license to practice law (Texas). Minimum 7 years (prefer 10+) of relevant legal experience, with significant mortgage finance, banking, or financial services exposure. Experience in supervising staff and managing outside counsel. Strong working knowledge of residential mortgage laws and regulations. Experience drafting and negotiating complex agreements. Experience drafting and negotiating complex agreements. Awareness of industry trends, competitive pressures, changing business and operational needs and external influences. Ability to work well under pressure and meet deadlines. Excellent verbal and written communication skills. Excellent inter-personal, conflict management skills and the ability to handle delicate situations with diplomacy and tact. Excellent strategic thinking, business acumen, and accountability. Ability to establish strategic technical direction, translate concepts into actionable, implementation plans and identify processes and technology that improve productivity. Demonstrated excellent analytical skills, time management skills, and strong detail orientation. Demonstrated judgment, and decision-making ability with the ability to negotiate and influence decisions. Excellent PC skills, including Microsoft Office Suite.
