You will partner closely with our Business and Corporate Development teams on M&A transactions and integration, as well as other corporate and investment transactions, and you will also provide advice and legal support on other types of strategic transactions and general corporate matters.You will partner with teams across DoorDash, including Legal, Business and Corporate Development, Finance, Tax and Accounting to manage M&A and other strategic corporate and investment deals, as well as provide legal guidance and assist with administration of DoorDash’s business operations, corporate structure, and transactions. This role reports into the Director, M&A Legal.You’re excited about this opportunity because you will…Lead and support mergers, acquisitions, joint ventures, investments, warrants and other corporate transactions through all stages of a transaction lifecycle, including assessment of potential targets, deal structuring, negotiation, due diligence, and deal executionProvide strategic legal advice to senior management and other internal stakeholders regarding M&A strategy, risk management, and executionDraft, review, and negotiate transaction documents, including definitive agreements, letters of intent, and ancillary documentsWork collaboratively with multiple cross-functional teams across the company on post-closing integration mattersAdvise on legal and regulatory issues related to securities law, antitrust, data privacy, and other compliance matters that may impact M&A transactionsProvide support and guidance on other corporate mattersEffectively manage outside counsel, including the selection of advisors and coordination of efforts to ensure effective legal support during the transaction processContribute to the development of internal legal processes and best practices for M&A transactionsYou’re excited about this opportunity because you have…A JD and are admitted to any state bar9+ years legal experience in a law firm as well as experience working in-house as a corporate transactions attorney focused on M&A and investmentsExperience with corporate transactions in the technology sectorThe ability to work autonomously while exercising sound judgment in a fast-paced environmentExcellent verbal and written communication skillsExcellent organizational skills and the ability to manage multiple projects at once, follow through and meet deadlinesFlexibility and a willingness to work extended hours when necessaryA proven ability to balance legal risk and business objectivesA positive attitude and high EQ. No job is too big or too small!Common sense and a good sense of humorCompensation and BenefitsThe successful candidate’s starting pay will fall within the pay range listed below and is determined based on job-related factors including, but not limited to, skills, experience, qualifications, work location, and market conditions. Base salary is localized according to an employee’s work location. Ranges are market-dependent and may be modified in the future. In addition to base salary, the compensation for this role includes opportunities for equity grants.
