This is a C14 Senior Lead Counsel position within Markets Legal, supporting Spread Products - Sales & Trading, based in Wilmington, DE. Spread Products refers to the Credit Trading business in Citi terms, with legal coverage separated between Sales & Trading and Financing & Securitization. The primary objective of this role is to provide expert legal guidance, thought leadership, and practical business-oriented solutions to ensure legal soundness and regulatory compliance for complex debt trading activities and related products.ResponsibilitiesProvide expert legal counsel and strategic guidance to the Spread Products Sales & Trading business, with an immediate focus on debt trading (including par loans, distressed loans, bankruptcy claims, private equity and 1145 equity, and illiquid assets). Interpret applicable laws, regulations, and industry best practices, including LSTA documentation and secondary loan trading.Offer secondary coverage for other products within the broader Spread Products Sales & Trading business, such as credit derivatives (stand-alone and embedded) in developed and emerging markets.Evaluate business proposals by applying institutional knowledge and risk appetite against industry standards and regulatory guidelines, escalating as appropriate.Collaborate across internal lines of business and control/support functions to achieve coordinated outcomes; coordinate closely with the Legal team on a regional and global basis.Participate in business planning and development initiatives; provide thought leadership using knowledge of industry, laws, and regulations.Identify, evaluate, and contribute to the management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, following legal developments, and escalating as appropriate.Manage day-to-day legal activities as a subject matter expert and provide advisory services to business partners.Monitor and manage complex legal issues and transactions, escalating when necessary.Assess risk in business decisions, safeguarding the firm’s reputation and assets by driving regulatory compliance, applying ethical judgment, escalating and reporting control issues with transparency, and supervising others as needed.Qualifications10+ years of direct, hands-on legal experience in financial services, with expertise in loan trading and LSTA documentation and secondary loan trading. Ability to contribute effectively from Day 1 in this specialized area.Banking or financial industry experience, including knowledge of banking regulations.Knowledge of international laws and regulatory practices, staying current with internal policies and industry trends affecting the business.Proven experience advising on and structuring complex debt trading deals (par loans, distressed loans, bankruptcy claims, private equity, illiquid assets) with the ability to analyze legal issues and develop commercially practical solutions.Effective communication and negotiation skills; ability to build and maintain trusted relationships.Excellent interpersonal, organizational, and relationship management skills.Proven ability to exercise sound judgment in a fast-paced environment.Bar license in good standing to practice law.EducationJuris Doctorate or equivalent law degreeThe role sits within Spread Products - Sales & Trading in Markets Legal.
