Los Angeles Capital firmly believes the quality and commitment of the individuals are vital to the success of the Firm, ensuring that client expectations are exceeded.Position OverviewReporting directly to the Chief Executive Officer, the Chief Legal Officer is responsible for managing all legal matters and risks and is expected to be a strategic partner and influential contributor to the Firm’s executive team. As a member of the Management and other Firm Committees, the CLO will have sound knowledge and understanding of laws and regulations, be a team player and have excellent advocacy and people skills. The CLO has responsibility for business agreements and client contracts, managing employee matters, compliance with government contracting, oversight of corporate transactions, defending any lawsuits or claims and compliance with laws and regulations.Key Job ResponsibilitiesProvide expert and strategic legal advice (including on legal rights and new and existing laws) to the Board and managementNegotiate and draft investment management agreements with prospects and clientsSet internal governance policies and manage the impact of external factorsEvaluate and weigh potential commercial impacts and risk of decisions or courses of action given legal considerationsManage litigation and claimsEnsure legal compliance and limit risk exposuresAdvise on commingled fund strategies for various geographies and client types and develop documentation for vehiclesIdentify solutions to eliminate or mitigate risksSet and promote standards for high ethics and integrityDeal with regulators, external counsel, and clients across multiple regions/countriesAttract, develop, direct, motivate and drive performance for the Legal teamOversight of agreements that minimize risks and maximize legal rightsKeep abreast of legislative changesOversight of corporate recordsOversight of outside counselDesigning and overseeing policies and positions on legal mattersManage share issuance and repurchase documentation and processDevelop Board agendas, materials and attend meetingsSkills and Knowledge RequiredJD Degree required with admission to practice in CAA minimum of 15 years’ of legal experience at a law firm and/or in-house position in the securities/investment management business or related fieldAbility to anticipate legal issues or risks and to see around the cornerAbility to be flexible and supportive and react swiftly to and be able to positively and proactively assimilate developments in a rapidly changing US, European and international regulatory environmentExperienced in corporate governance issuesProven GC experience in an investment advisory firmOverall broad legal knowledge (corporate, securities, litigation, labor, international etc.)In-depth understanding of how legal issues affect organizationsAbility to develop legal strategies and objectivesWell-versed in how the business operates with financial acumenHigh degree of professional ethics and integrityExcellent judgement and analytical skillsExcellent interpersonal and communication skillsStrong work ethic and willingness to go the extra mile to meet deadlinesOutstanding written and verbal skillsResults-oriented and driven to succeed with the ability to attract individuals with similar characteristics.This is a hybrid position based in Los Angeles, CA which requires weekly attendance.Los Angeles Capital is an SEC registered investment adviser and required to track certain political contributions under rule 206(4)-5.
