OverviewNorth Road Company is looking for an exceptional, well-rounded Associate General Counsel to play a critical role in driving the success and growth of the Firm. The Associate General Counsel will be a core member of the team. They will focus on:Advising the Company on all corporate legal matters, with an emphasis on complex M&A, new business ventures, joint venture and partnership transactions, employment matters, license and vendor agreements, and corporate governance.Working closely with the business teams, key stakeholders, and subsidiary companies to ensure success within the Company’s legal functions.Location & ReportingThis role is based in Playa Vista, CA and will report to the General Counsel. This role will be expected to work at least 4 days/week in office.Objectives & ResponsibilitiesServe as a key attorney on major business transactions, including international and domestic M&A transactions, overall distribution agreements and licenses, new business ventures, partnerships, and minority equity investments.Manage M&A transactions start-to-finish as the lead lawyer, including drafting and negotiating term sheets and long form documents, counseling the deal teams on legal and business issues (including corporate governance structures, common M&A issues and executive employment agreements), managing outside counsel, negotiating key terms, and working closely with management teams on post-close integration and projects.Oversee the Company’s corporate governance/legal administration, including drafting operating agreements, maintaining entity and structure charts, legal files, etc., in coordination with the Company’s Paralegal.Act as a legal resource to the Company’s investors, key management and subsidiaries, on legal issues, transaction structure, corporate governance, employee matters, etc.Advise on and negotiate employment documents, including offer letters, employment agreements, incentive documents, arbitration agreements, etc.Create and implement key policies and procedures and standard forms across the Company as a whole.Handle the Company’s day-to-day legal needs, including negotiation of NDAs, vendor agreements, consulting agreements, employment agreements, license agreements, litigation, and the like.Assist with additional ad hoc requests, as needed.RequirementsMinimum of 6+ years as a transaction associate at a top-tier law firm with strong experience in mergers and acquisitions and/or corporate transactions or in a corporate legal department of a company.Understanding of unique issues in production/media/entertainment companies is strongly preferredJD from an accredited law school.Member of a bar in good standing.Excellent verbal and written communication skills required – communication style should be efficient, concise, and effective.Highly organized with strict attention to detail and excellent follow-through.Strong leadership presence and interpersonal skills to interface with Company leadership, production company executive fortable working with and maintaining confidential information.AttributesViewed by your supervisors, opposing counsel and piers as the highest-rated, most capable attorney with whom they have worked, willing to tackle any question or issue with interest, dedication, and an optimistic perspective.Results-oriented; confident making judgments in real time and ensuring matters are moved forward to completion.Proactive self-starter, displaying significant initiative and comfort working under strict deadlines and pressure.Strong project management skills, with the ability to multi-task and prioritize work assignments.Enjoys working both independently and as part of a team and excels in a hard charging, fast-paced, entrepreneurial and fun environment with competing demands and passionate pensationAt North Road, the base salary for this role is between $300,000 - $400,000 per year. The final offer amount will consider a wide range of factors in making compensation decisions, including, but not limited to, a candidate’s experience relevant to the job.
