Join EY and help to build a better working world.The opportunityOur Partnership Transactions Group (PTG) is a team of professionals with outstanding tax technical skills and substantial industry, government, and capital markets experience. The group combines seasoned specialists in partnership, real estate and leasing taxation; federal income tax controversy; and economic and financial modeling and analysis. We advise clients in all phases of a transaction’s lifecycle, from planning and risk assessment to execution, ongoing maintenance and wind-down of the structure, and potentially involvement with any defense of the transaction before the IRS on audit. Our cross-disciplinary background enables us to work on large, complex, cutting-edge transactions with nationally recognized specialists in partnership, real estate and infrastructure taxation and related areas. Note: Being located in Washington, D.C. is not required as our group has offices in several cities across the country.What you’ll do – ResponsibilitiesDesign and execute complex, large-scale partnership and real estate transactions with large clients.Manage due diligence for acquisitions of partnership and REIT targets.Analyze and memorialize significant tax considerations and issues in memoranda and opinions.Work on representative transactions including corporate and cross-border joint ventures, IPOs (including REITs, SPAC and Up-C transactions), private-equity acquisitions and dispositions (including continuation fund transactions), and internal restructurings across industries such as pharma/biotech, sports/entertainment, asset management/private equity, hedge funds, renewable energy, real estate, oil & gas, and public-private infrastructure.Collaborate with Partners/Principals and mentor Staff, Seniors, and Managers; contribute to other on-call consulting opportunities, Tax Alerts, Developments, courses, and external presentations.What we look forWe’re seeking intellectually curious individuals with diverse interests and backgrounds, who blend an entrepreneurial mindset with strong teamwork. If you’re ready to make a tangible difference from the start, this role could be right for you.Skills and attributes for successIdentifying, researching and analyzing complex partnership and real estate tax issues.Managing all stages of a transaction, including due diligence, structuring, and evaluating alternative structures; supporting the modeling team to quantify target exposures, tax consequences, future cash flow, IRR, and allocation implications.Preparing structure reports and drafting substantive emails, memoranda, and opinions.Providing high-quality, time-sensitive, and responsive service that meets or exceeds client expectations.Managing, coaching and developing a team of tax professionals; reviewing work and ensuring knowledge, tools and opportunities are available to excel.QualificationsBachelor’s degree required; CPA certification or membership in The Bar.Minimum of 4-6 years of work experience in professional services or professional tax organizations.Strong analytical and technical writing skills.Broad exposure to federal income taxation; experience in partnership and/or real estate taxation is a plus but not required.Significant transactional experience.Flexibility and willingness to travel; ability to work beyond standard hours when necessary.Proficiency with MS Office (Excel, Word, PowerPoint).Ideally you’ll also haveAbility to learn and work independently with minimal supervision.Demonstrated analytical and problem-solving skills.Effective organization and time management; ability to work under pressure and meet deadlines.What we offer youWe’ll develop you with future-focused skills and world-class experiences in a flexible, inclusive environment.
