Position DescriptionWe are seeking a highly skilled commercial finance and lending attorney to support our credit and lending departments in commercial lending transactions. This role involves providing legal counsel and support for complex commercial lending transactions, including structuring, negotiating, and documenting secured and unsecured commercial loans. The ideal candidate will have deep expertise in banking and finance law, commercial loan documentation and the ability to manage multiple transactions in a fast-paced environment. Day-to-Day Duties and ResponsibilitiesDraft, review, and negotiate commercial loan agreements, security instruments, guarantees, and related documentation.Advise on the legal aspects of structuring commercial lending transactions, including bilateral loans, syndicated loans, asset-based lending, and mezzanine financing.Conduct legal due diligence on borrowers, collateral, and transaction structures.Provide guidance on intercreditor arrangements, subordination agreements, and lien priority issues.Support enforcement actions, workouts, and restructurings when necessary.Ensure compliance with federal and state lending laws, banking regulations, and internal policies.Collaborate with internal business units, including credit, lending, finance, and compliance teams, to support transaction execution.Identify and mitigate legal risks associated with lending activities.Monitor changes in relevant laws and regulations and advise stakeholders accordingly.Manage relationships with external counsel and coordinate legal support for multi-jurisdictional transactions. What You Bring to the TeamOur ideal candidate lives within a commutable distance from our office and appreciates the value of hybrid work design.It’s an important role that covers many skills. This position requires:Juris Doctor (JD) from an accredited law school; active license to practice law, preferably Texas.Minimum 5+ years of experience in commercial lending.Prior experience working with or advising Farm Credit institutions is a plus.Demonstrated experience in:Drafting and reviewing commercial finance transactions, including asset-based lending, revolving lines of credit, term loans and equipment loans.Asset securitization and leveraged finance.Mezzanine and subordinated financing; andWorkouts, debt restructurings, bankruptcies and debtor-in-possession financing.Agricultural and rural lending experience is a plus.Experience working in both law firms and in-house environments and/or financial institutions is highly desirable.Ability to work onsite in the Bank’s Austin, Texas office (hybrid).
