OverviewJoin to apply for the Corporate Tax Attorney role at Buchanan Ingersoll & Rooney PC.We have an immediate opening for a Corporate Tax Attorney with a strong background in corporate tax matters, including but not limited to mergers and acquisitions (M&A), contributions, distributions, liquidations, tax-free spin-offs and split-ups. The ideal candidate will possess expertise in debt workouts, including the consideration of cancellation of debt income and strategies to eliminate such income, as well as a solid understanding of limits on net operating losses (NOLs).Key ResponsibilitiesAdvise clients on corporate tax matters related to M&A, acquisitions, contributions and liquidationsReview stock and asset acquisition agreements, ensuring compliance with tax regulationsProvide guidance on special considerations and restructuring relating to Subchapter S CorporationsAssist in real estate tax planning for joint ventures, partnerships, LLCs and investment fundsReview offering memoranda and facilitate debt restructuring processesAdvise clients on like-kind exchanges, Opportunity Zone Funds and 1031 Exchange RulesAddress tax controversy matters when needed, providing strategic solutions to complex issuesJob RequirementsJuris Doctor (JD) from an accredited law schoolStrong knowledge of corporate tax law, particularly in relation to M&A and real estate transactionsFamiliarity with tax controversy matters is a plusExcellent analytical, communication and interpersonal skillsAbility to work independently and as part of a team in a fast-paced environmentSalary Range: $275,000 - $325,000BAR ADMISSION REQUIRED: New York, Pennsylvania, Florida or District of ColumbiaDOCUMENTS REQUIRED: Cover Letter, Resume, Transcript and Writing SampleJob DetailsSeniority level: Entry levelEmployment type: Full-timeJob function: LegalIndustries: Law PracticeReferrals increase your chances of interviewing at Buchanan Ingersoll & Rooney PC by 2x. #J-18808-Ljbffr
