As a key member of our legal department, youll work closely with the General Counsel on high-impact projects that span corporate governance, securities law, mergers and acquisitions, and commercial transactions. This role offers a unique opportunity to make a tangible impact on the companys growth while ensuring we maintain the highest standards of legal compliance. This position will report directly to our General Counsel and requires full-time, on-site presence at our Somerset, NJ headquarters, five (5) days a week.Partner in the design, drafting and implementation of 1934 Act reports (and related processes), including 10-Ks, 10-Qs, 8-Ks, proxy statements, ARS, ESG Report, Form SD, 16(a) compliance, insider trading compliance, earnings releases, and Disclosure Committee meetings, as well as 1933 Act registration projects, including debt/equity offeringsCollaborate with internal and external teams in mergers and acquisitions projectsAssist with the review and analysis of developments in corporate law, corporate governance, and stock market listing requirementsProvide support for commercial transactions, including non-disclosure agreements, customer agreements, licensing agreements, and vendor agreementsProvide accurate, relevant, and timely advice on legal topics that affect the businessPromote compliance and risk management best practices throughout the companyMaintain knowledge of the companys operations and legal documentsIdentify and escalate concerns (and solutions) to the General CounselIdentify and resolve legal issues and identify and help resolve business issuesParticipate in legal department meetings and provide updates on current mattersAs part of the EMS-Environment Management System, will meet compliance obligations and accountability by contributing but not limited to the companys recycling guidelines, proper waste and other environmental performance practices5 to 10 years of relevant experience, ideally including a previous in-house role~ Bachelor of Science and Juris Doctor (JD) degree~ S. jurisdiction (& able to obtain NJ in-house license)~ Outstanding judgment and legal reasoning~ Possess financial integrity; Enthusiastic attitude, cooperative, professional demeanor, creative and innovative~ Technical experience with Microsoft Office apps and other appropriate technology toolsComfortable working in an office setting for 8+ hours a day, engaging in activities such as:Sitting at a desk and using a computerTyping and reaching for office tools like the telephoneUsing office equipment while standingCommunicating effectively via phoneUtilizing vision for computer-based tasksThe office environment is professional, with a moderate noise level typical of collaborative workspaces.We are also an equal opportunity employer of individuals with disabilities and protected veterans.
