The successful candidate will be a key player in the areas of securities compliance, corporate governance, and strategic transactions. This role demands a high level of collaboration with various internal departments, including finance, investor relations, marketing, and human resources, as well as with external counsel, to ensure legal and regulatory compliance. The Sr. Corporate Counsel will be responsible for advising on securities law, SEC reporting, and compliance matters, providing corporate governance support, and leading the preparation of the company's proxy statement. Additionally, the role involves supporting corporate development transactions, such as M&A, and overseeing shareholder meeting-related matters. Applicants for the Sr. Corporate Counsel position at the company should have a minimum of 8 years' of experience as a corporate attorney, with a strong preference for those with a background in a law firm or public company legal department. The ideal candidate will have a deep understanding of securities law, corporate governance, and public company compliance, and be a collaborative team player with the ability to manage paralegals and business stakeholders effectively. A proactive approach to legal matters, high ethical standards, attention to detail, and strong problem-solving skills are essential. A Juris Doctor (JD) or equivalent degree is required, and the candidate should be licensed to practice law, preferably in California.
