Portland, OR.Midlevel EC/VC Corporate AssociateCentury City, Los Angeles, or Newport Beach, CA (Portland, OR Considered)$310,000 - $390,000 + Bonus & BenefitsDirect Counsel is seeking a Midlevel Corporate Associate with 4-6 years of experience in Emerging Companies & Venture Capital (EC/VC) to join a prestigious law firm’s Southern California offices (Century City, Los Angeles, or Newport Beach) . This role offers the opportunity to advise startups, venture capital investors, and high-growth companies through all stages of their business lifecycle.Key ResponsibilitiesAdvise emerging companies and venture capital investors on corporate and transactional matters.Draft and negotiate venture capital financing documents , including term sheets, convertible notes, and NVCA financing agreements.Counsel clients on corporate governance matters , including board and shareholder issues.Support clients in M&A, joint ventures, and strategic transactions .Conduct due diligence and assist with transactional closings.Serve as outside corporate counsel to early- and late-stage private companies.Manage client relationships and coordinate with outside counsel .QualificationsJ.D. from an accredited law school .Admission to the California Bar .4-6 years of corporate law experience , with significant focus on EC/VC transactions .Strong drafting, negotiation, and analytical skills .Experience managing multiple transactions in a fast-paced, high-growth environment .Entrepreneurial mindset and ability to work both independently and collaboratively .Compensation & BenefitsBase Salary: $310,000 - $390,000 , based on experience.Bonus eligibility .Comprehensive health, dental, and vision insurance .401(k) with employer contributions .Generous PTO, holidays, and paid sick leave .This is an exciting opportunity for a midlevel corporate attorney to join a leading EC/VC practice with direct client exposure and room for growth .
