Commercial Transaction Paralegal

Position Summary: We are seeking a detail-oriented and proactive Commercial Transactions Paralegal to support our legal team in managing and executing a wide range of commercial agreements and transactions. Key Responsibilities: Draft, review, and revise various commercial agreements including NDAs, vendor contracts, service agreements, licensing agreements, and purchase/sale contracts. Assist with contract lifecycle management, including tracking deadlines, renewals, and compliance obligations. Conduct legal research and summarize findings related to commercial law and regulatory requirements. Coordinate with internal departments to gather information and ensure contract terms align with business needs. Support due diligence efforts in mergers, acquisitions, and other corporate transactions. Maintain organized records of contracts and legal documents in the company’s database. Prepare summaries and reports for attorneys and business stakeholders. Assist with corporate governance tasks such as entity formation, filings, and resolutions as needed. Qualifications: Associate’s or Bachelor’s degree; Paralegal certificate from an ABA-approved program preferred. 3+ years of experience in a legal environment, with a focus on commercial transactions. Strong understanding of contract law and business operations. Excellent written and verbal communication skills. High attention to detail and ability to manage multiple priorities. Proficiency in Microsoft Office Suite and contract management software. Preferred Skills: Experience in (industry-specific) commercial transactions. Familiarity with legal technology tools and document automation platforms. Ability to work independently and collaboratively in a fast-paced environment.
