OverviewAn Amazing Career Opportunity for a Legal Counsel!Location: Austin, TXJob ID: 41909This role will include the management of complex commercial transactions with an emphasis on technology transactions and other multiple tasks and responsibilities. This role will report to the Senior Associate General Counsel - Commercial. The ideal candidate will embody and promote integrity, possess exceptional judgment and business acumen, and be able to drive scalable processes, innovation, and pragmatic solutions.Who are we?HID powers the trusted identities of the world’s people, places, and things, allowing people to transact safely, work productively and travel freely.Your Legal Counsel role includes:Drafting, reviewing, and negotiating complex commercial transactions, including software, hardware, SaaS and other cloud-computing solution customer agreements, and channel partner agreements (e.g., OEM, distribution, reseller, and systems integrator agreements)Supporting the development of scalable processes and templates for all of the foregoing transactionsSupporting procurement and supply chain activity and new product development agreementsCreating and implementing company policiesSupporting due diligence and integration efforts in mergers & acquisitionsResearching and advising on legal and regulatory compliance, including anti-trust, FCPA, and export controlResearching and supporting guidance to senior management on a broad range of matters including identifying areas of risk and mitigation strategiesAssisting in the development of contractual and process-oriented risk mitigation strategies especially in the areas of data protectionCreating and delivering training to business teams regarding commercial transactions and other legal areas of riskProviding legal guidance on data privacy matters in the United States, EU, and globallyAdvancing third party due diligence and risk mitigation strategies for vendors and other third party business relationshipsReviewing and updating EULAs, and standard purchase order and sales order terms and conditionsIntegrating the legal function within the business and provide comprehensive supportYour Experience and Background include:JD degree from a recognized U.S. accredited law school, and currently licensed to practice in at least one state2 to 4+ years of legal experience and, ideally, prior in-house experienceStrong technology contract experience, including hardware, SaaS, cloud-hosted solutions and software licensingInternational business experience is desirableExcellent oral, written and interpersonal communication skills and the ability to create and sustain lasting relationships with customers and managementStrong proficiency in MS OfficeJudicious independent worker also adept at working collaborativelySound legal and business judgment and the ability to make strategic decisions and provide recommendationsExperience in a high growth and diverse environment; a record of accomplishment including driving results and working with a high performing teamStrong deal-making skills that go beyond negotiating legal terms and resolving legal issuesDetail-orientation and ability to manage multiple transactions and projects simultaneously under deadline pressureSignificant experience counseling global organizations on commercial and compliance issuesProactively isolate and prioritize issues to focus on implementing both top-level, strategic solutions as well as the day-to-day initiativesAbility to deliver in a demanding and entrepreneurial environment in a timely mannerWhat we can offer you:Competitive salary and rewards packageCompetitive benefits and annual leave offering, allowing for work-life balanceA vibrant, welcoming & inclusive cultureExtensive career development opportunities and resources to maximize your potentialTo be a part of a global organization that is pioneering the hardware, software and services that allow people to confidently navigate the physical and digital worldsWhy apply?Empowerment: You’ll work as part of a global team in a flexible work environment, learning and enhancing your expertise.
