Contracts Manager Full Time Remote Lyssn.io, Inc. We are seeking a detail-oriented Contracts Manager to support our growing business with state and local government agencies in the Health and Human Services (HHS) sector. In this critical role, you will bridge the gap between sales, finance, and legal by managing the contracting lifecycle for our artificial intelligence (AI) software solutions, focused on training and quality assurance of HHS staff. You are the ideal candidate if you are comfortable redlining standard SaaS agreements and state and local government vendor contracts, understand the nuances of government procurement (RFPs/RFQs, non-competitive contracts), and can distinguish between a business risk and a legal risk. Job Type / Schedule: Full-time employee, 40 hours per week, remote. Lyssn, io, Inc. is based out of Seattle, WA. The majority of work can be conducted remotely through telecommuting. Travel to in-person Lyssn team meetings is required approximately 3-5 times a year. Supervision: This position is available under the direction of Jenny Cheng, VP of Growth, HHS and MJ Ybarra, Compliance Officer. Essential Functions: Contract Review & Management First-Pass Legal Review: Review and edit (redline) NDAs, MSAs, BAAs, and Vendor Agreements against Lyssn's contracts negotiation playbook. Risk Spotting: Identify non-standard terms (e.g., uncapped liability, non-standard payment terms) and escalate high-risk clauses to outside counsel when necessary. Contract Negotiation Support: Serve as the primary point of contact for contract negotiations, resolving business terms independently and coordinating legal terms resolution with leadership. Lifecycle Management: Oversee the full contract lifecycle from proposal to signature, ensuring all agreements are executed properly and filed correctly. Government Procurement & Compliance RFP Management: Organize and track responses to RFPs and RFQs, ensuring all vendor forms and compliance documents are submitted on time. HHS Specifics: Manage Business Associate Agreements (BAAs) and ensure contracts align with HIPAA and data privacy standards where needed. Track and ensure adherence to atypical terms across the customer lifespan. Vendor Registration: Maintain Lyssn's status and registration with various state and local procurement portals. Cross-Functional Collaboration Sales Support: Partner with the Sales team to quickly draft and negotiate contract documents to maximize deal velocity. Finance Alignment: Ensure contract billing terms, renewal dates, and fee schedules are accurately communicated to Finance for invoicing. Process Improvement: Refine and enhance Lyssn's contracts playbook to streamline redlines and reduce our reliance on outside counsel for basic changes. Develop and maintain contract processing documentation and procedures Create contract summaries highlighting key terms and obligations for business stakeholders Assist in audits by providing contract documentation as needed Requirements: Bachelor's degree in Business Administration, Legal Studies, or related field 4+ years of experience in contract administration, preferably in a technology or SaaS environment 2+ years of experience with state and local government purchasing and procurement processes, including competitive and non-competitive methods Basic understanding of contract law and business terms Skills & Attributes: Ability to read, interpret, and redline contract terms (Indemnification, Limitation of Liability, Termination). Familiarity with standard government IT contract terms, HIPAA, and Business Associate Agreements (BAAs). Proficiency in Microsoft Word (Track Changes is a must), G-Suite, and CRM tools (HubSpot). Ability to adopt established standard operating procedures and develop new SOPs as new workflows and standards are developed. Preferred Qualifications: Paralegal certification or Masters in Legal Studies Familiarity with Hubspot or similar CRM systems Understanding of software licensing models Experience with project and contract management software (i.e., Adobe Acrobat, Asana) Familiarity with state and local government risk management strategies Salary Range: $75,000-$120,000. Salary will be commensurate with years of experience and domain expertise. $75,000 $90,000: Candidates with 1-3 years of experience and a Bachelor's degree, focused primarily on contract organization, signature tracking, and administrative compliance. $90,000 $105,000: Candidates with 3-5 years of SaaS experience and/or Paralegal certification, capable of redlining NDAs and standard agreements using a legal playbook. $105,000 $120,000: Candidates with 5+ years of experience and advanced credentials (e.g., Master of Legal Studies or J.D.), capable of independently negotiating complex MSAs, BAAs, and government terms with minimal attorney oversight.
