Position Overview: Join Cooley LLP as a Quantitative Analyst for Transactions, part of our Practice Management team. In this role, you will deliver quantitative analysis to support our transactional clients in evaluating, structuring, optimizing, and closing venture capital and M&A deals. Key Responsibilities: Develop hypothetical liquidation waterfall models tailored to corporations' governing documents, accommodating various deal scenarios. Create payout spreadsheets for M&A transactions, catering to both buy-side and sell-side clients, based on relevant documentation. Review and audit existing models and spreadsheets provided by clients and other firms to ensure accuracy. Prepare pro forma capitalization tables, including detailed price per share calculations for venture capital transactions, debt-to-equity conversions, and stock option grants. Conduct 280G and 701 analyses based on compensation and deal data. Collaborate with the Capital Markets team to develop pricing spreadsheets and models for IPOs, SPACs, and public offerings. Design and maintain quantitative models for regular analysis within the firm. Promote the use of standard capitalization table management practices across the firm. Perform financial statement analyses, calculating key financial metrics and ratios as needed. Prepare customized analyses including tax considerations and allocation distributions for partnerships and LLCs. Generate valuation reports and economic analyses. Assist in training junior attorneys and paralegals on effective Excel usage for deliverables. Achieve a minimum of 1,800 billable hours annually and maintain accurate time records. Complete any additional duties as required. Required Skills and Experience: Expertise in Excel required, including advanced analytical capabilities and experience with macros and report generation. Willingness to work flexible hours including weekends and travel as necessary. 3+ years of directly relevant experience, showcasing analytical and critical thinking in your work. Preferred Qualifications: Bachelor's or advanced degree in Economics, Accounting, Business, Finance, Mathematics, or similar fields. Prior experience in corporate finance or financial transactions. Visual Basic proficiency. Enthusiasm for capital markets, venture capital, and M&A. Solid understanding of business transaction dynamics. Competencies: Strong analytical and critical thinking skills. Exceptional written and verbal communication to convey complex quantitative insights clearly. Ability to build relationships and collaborate with internal and external stakeholders. Adaptability to high-pressure situations, delivering quality analysis under tight deadlines. Excellent organizational skills to manage multiple priorities effectively. Cooley offers competitive compensation, excellent benefits, and a commitment to equitable employment practices. The expected annual salary for this full-time role is between $100,000 and $190,000, with final offers based on geographic location and individual experience. Senior candidates may be eligible for a higher salary range.
