Contract Management Specialist - Legal & Compliance Impact You'll Make Be the first line of review for various commercial contracts - including engagement letters, confidentiality agreements, consulting agreements, vendor agreements, and independent contractor agreements - ensuring compliance with company policies, legal standards, and industry best practices. Enhance contract quality by thoroughly reviewing client feedback, utilizing internal templates and playbooks, and raising significant issues with supervising attorneys when necessary. Boost operational efficiency by managing and maintaining legal templates, developing processes, and contributing to playbooks and checklists to streamline contract workflows. Provide clear explanations of contract terms and policies to internal stakeholders, aiding teams in achieving business goals while effectively managing risks. Act as a dependable resource for cross-functional teams (Client Services, IT, Finance, HR) on contract and policy-related inquiries. Support the Legal & Compliance team in initiatives, resources, and presentations to fulfill the firm's operational and compliance objectives. What You'll Do Review, draft, and revise commercial agreements using internal templates and professional judgment to ensure high-quality, compliant documentation. Conduct fundamental negotiations with internal teams and external clients, elevating complex issues to in-house attorneys as appropriate. Manage and update departmental templates, standard forms, and process documentation to ensure consistency and enhance efficiency. Interpret contract language, policies, and requirements for internal teams, providing clear and business-aligned recommendations. Assist with responses to subpoenas, litigation matters, document production, and other legal support duties as needed. Collaborate with internal teams to resolve contract-related queries and ensure seamless execution of business processes. Help develop internal training materials and resources on best practices and legal processes concerning contracts. What You Bring A bachelor's degree in business administration, legal studies, or a related field is required. A paralegal certification or equivalent experience is preferred. 4+ years of experience in drafting, reviewing, or negotiating commercial contracts within a corporate legal department or professional services environment. A strong understanding of commercial contracting concepts; familiarity with data privacy, professional services, or government contracting is advantageous. Outstanding verbal and written communication skills, able to clearly convey contract concepts to non-legal stakeholders. Proficiency in Microsoft Office Suite and experience with managing contract documents and templates. Exceptional attention to detail, organizational skills, and the ability to manage multiple priorities in a fast-paced environment. A reasonable estimate of the current salary range is $90,000.00 - $120,000.00 annually, with eligibility for an annual bonus. Why Stout?
