Our Legal team serves as proactive advisors and business partners, enabling effective legal and operational solutions in support of PowerSchool's vision. This includes providing advice on company strategies and implementation, supporting complex business transactions, and negotiating critical contracts. The Contracts team is responsible for overseeing the full lifecycle of commercial contracts at PowerSchool. The team drafts, negotiates, and finalizes agreements with customers, vendors, and partners and plays a critical role in mitigating risk, supporting business objectives, and enabling efficient operations. This Contracts Manager role will play a key part in the Company's contracting processes by independently reviewing, drafting, and negotiating a broad range of legal and commercial agreements. The role will also support PowerSchool's acquisition strategy and the broader needs of the Legal Department by facilitating effective contract management practices and processes across the organization. Key Responsibilities Your day-to-day job will consist of: Review, draft and negotiate a wide range of commercial agreements, with a primary focus on sales and renewal agreements. Primarily provides legal support to the North America sales and renewal teams. Manage sales? and renewal?related legal requests, escalating issues to the designated Attorney Lead as appropriate. Assist with drafting and negotiation of other commercial agreements as needed and as workload permits. Review and prepare contractual and legal responses to Requests for Proposal (RFPs) and Requests for Information (RFIs). Support the integration of acquired companies' commercial agreements, as needed. Identify, evaluate, and resolve both routine and complex business issues through collaboration with cross?functional stakeholders. Support the Legal team by advising internal business partners on commercial, contractual, and risk?related matters. Perform contract administration duties as needed, including extracting key contract data, maintaining contract templates, and organizing executed agreements and related legal documentation within contract management systems. Provide general administrative and legal support for the Legal department. Perform other duties as assigned by supervising attorney or Chief Legal Officer. Minimum Qualifications Minimum 8+ years of relevant professional experience in contract drafting, negotiation, and administration, preferably with a privately held company, publicly traded company, and/or top law firm. Bachelor's degree or equivalent experience; additional experience may be substituted for an advanced degree. Demonstrated ability to independently and confidently draft and negotiate, with minimal supervision, a high volume of commercial agreements of varying complexity, including: Master services and professional services agreements SaaS and software license agreements Statements of work Partnership and distribution agreements Procurement?related contracts Proven ability to manage stakeholder and customer escalations and to resolve issues effectively and pragmatically. Solid understanding of intellectual property concepts and technology licensing, with experience in the software industry. Strong analytical skills with the ability to identify material legal and business issues, assess risk, and recommend practical solutions. Excellent written and verbal communication skills, including the ability to clearly summarize complex issues and risks. Strong organizational skills, attention to detail, and the ability to manage multiple priorities and deadlines in a fast?paced environment. Ability to identify basic data privacy and information security issues. Prior experience working in a high?volume, high?impact contracting environment with customers, vendors, partners, and other third parties. This compensation range is specific to the United States and it incorporates many factors including but not limited to an applicant's skills and prior relevant experience and training; licensures, degrees, and certifications; internal equity; internal pay ranges; and market data/range parameters.
