This position provides high-level administrative and substantive legal support to attorneys handling sophisticated corporate and transactional matters, with opportunities to contribute billable and non-billable work as part of an engaged and collaborative team.SummaryUnder the supervision of attorneys, the Legal Assistant performs a broad range of administrative and substantive legal duties in support of corporate and transactional matters. The role requires strong organizational skills, sound judgment, attention to detail, and the ability to manage multiple priorities in a fast-paced environment.LocationThis position can be based either in Del Mar Heights, San Diego or Irvine and may offer a hybrid work arrangement for both billable and non-billable work, subject to firm policy and business needs.ResponsibilitiesResponsibilities include, but are not limited to:Drafting, revising, proofreading, and formatting correspondence and complex corporate and transactional documentsAssisting with entity formations, governance, compliance, and ongoing entity maintenanceReviewing, organizing, and preparing agreements, contracts, and transaction materials for attorney reviewCoordinating signatures, closings, and post-closing deliverablesSupporting due diligence efforts, including organizing and managing data rooms and transaction filesCommunicating directly with clients, internal teams, and external vendorsManaging attorney calendars, deadlines, and time entryPreparing and submitting attorney expense reimbursementsSupporting attorneys and paralegals with a wide range of corporate and tax-related projectsThis position includes billable responsibilities, such as document preparation, transactional assistance, and due diligence support, as appropriate.QualificationsThe ideal candidate will demonstrate strong judgment, exceptional organizational skills, and the ability to work independently while collaborating closely with attorneys and paralegals.Required and preferred qualifications include:3+ years of Legal Assistant experience, preferably in a corporate or transactional law firm practiceABA-approved Paralegal Certificate requiredStrong proficiency in Microsoft Office (Word, Excel, Outlook)Experience with iManage preferredExcellent written and verbal communication skillsAbility to manage multiple priorities and deadlines in a fast-paced environmentA positive, proactive, and solutions-oriented mindset with a strong sense of ownershipEssential Job ExpectationsProvide timely, accurate, and high-quality work productCommunicate effectively with attorneys, staff, clients, and third partiesAnticipate attorney needs and exercise sound judgmentFoster positive working relationships and contribute to a collaborative team cultureComply with all firm policies and proceduresWhy Work With Us?Collaborative, mission-driven team cultureOpportunity to support high-impact work involving tribal sovereignty, economic development, and major gaming and commercial projectsCompetitive compensation. These roles typically pay $87,000-$110,000 depending on experience. If your pay expectation is outside this range, we still encourage you to apply.
