Senior Commercial Counsel Contract -12 Months Location - Seattle, WA (Remote)JOB DESCRIPTION Lead review, drafting, and negotiation of complex commercial customer agreements, including MSAs, DPAs, order forms, and related documents Serve as primary legal lead on assigned transactions from intake through execution Provide strategic legal support for enterprise transactions in Financial Services and Healthcare & Life Sciences verticals Navigate regulatory, data privacy, information security, AI, and IP-related issues in sophisticated customer negotiations Partner closely with Sales to move deals forward while appropriately balancing and mitigating company risk Collaborate cross-functionally with Finance, Information Security, Privacy, Product, and other internal stakeholders as needed to close transactions Manage a high volume of matters efficiently in alignment with quarterly sales cycles Required Qualifications 7+ years of technology transactions experience, including substantial in-house experience directly partnering with Sales and cross-functional stakeholders in a high-growth SaaS or cloud company Strong expertise in drafting and negotiating complex enterprise SaaS agreements, including consumption- and commit-based commercial models Demonstrated success independently managing sophisticated transactions with Financial Services and Healthcare & Life Sciences customers, including banks, insurance companies, asset managers, fintech, health systems, payors, pharmaceutical, biotech, and digital health organizations Strong working knowledge of data privacy, information security, AI-related terms, and intellectual property (including open source) Demonstrated ability to independently drive complex negotiations while balancing legal risk with revenue objectives Comfortable operating with minimal oversight in a fast-paced, high-growth environment with competing priorities Exposure to U.S. Public Sector contracting frameworks is a plus (but not required) JD and active license in good standing in at least one U.S. jurisdiction
