**Counsel II - Ecosystem (Remote)** The Counsel II - Ecosystem will serve as the primary legal advisor for the company's ecosystem partner agreements in a healthcare SaaS environment. This role is responsible for supporting strategic and operational ecosystem relationships, including technology integrations, data‑sharing arrangements, co‑development, reseller, distribution, licensing, and go‑to‑market partnerships, within a highly regulated industry. Reporting to the Director, Assistant General Counsel - Enterprise Operations, Product, & Employment, this position partners closely with Business Development, Product, Compliance, Commercial Legal, and other internal stakeholders taking into consideration commercial and risk concerns on the partnership and front end relationships with end customers to enable compliant growth. The role requires strong commercial judgment, advanced contract negotiation skills, and the ability to navigate complex healthcare regulatory considerations in the pharmacy industry while supporting evolving business needs. Healthcare industry experience is strongly preferred, and pharmaceutical industry experience is a significant differentiator given the company's strategic direction and expanding ecosystem partnerships. **Key Responsibilities:** + Serve as the primary legal advisor for all ecosystem partner agreements, including co-marketing, co-development, reseller, distribution, licensing, technology integration, and data sharing contracts. + Partner with the company's Business Development, Product, Compliance, and Commercial and business teams on the negotiation and execution of high-value and complex matters or transactions. + Advise internal business teams on the legal and regulatory issues impacting ecosystem partnerships, including IP, data privacy, security, and interoperability. + Draft, review, and lead negotiations with ecosystem partners on a variety of agreements, with an understanding of how partner obligations, pricing, data rights, and compliance terms may impact the company's customer-facing contracts and proactively flag downstream risks or inconsistencies to the Commercial Legal team. + Identify and escalate potential regulatory risks arising from ecosystem partnerships, including anti-kickback, false claims, reimbursement, and other healthcare or pharmaceutical industry considerations, and collaborate closely with Compliance, Privacy, and/or outside counsel to assess and mitigate risk. + Develop and maintain standardized templates, playbooks, and policies for ecosystem partner contracting. + Monitor legal, regulatory, and industry developments relevant to ecosystem partnership in the healthcare industry and communicate implications to stakeholders. + Support due diligence and risk assessment for new and existing ecosystem partners, focusing on regulatory compliance and data protection. + Collaborate cross-functionally to operationalize ecosystem partner agreements and ensure effective implementation. + Provide training and guidance to internal teams on ecosystem contracting best practices and regulatory requirements. + Escalate complex or high-risk partner negotiations and provide strategic counsel to business leaders. + Contribute to continuous improvement of legal processes, documentation, and knowledge sharing related to healthcare ecosystem partnerships. + Other duties as assigned. **Required Knowledge and Skills:** + **Strategic Thinking** : Ability to anticipate regulatory changes and align compliance strategy with business objectives; Ability to read, analyze, and interpret laws, rules, and regulations, legal documents, and financial and other reports, with experience in the principles, practices, and laws associated with ecosystem partnership matters. + **Influence & Collaboration** : Builds trust and credibility with Product, Engineering, Compliance, Privacy, Security, and leadership teams; Strong ability to balance the need for rapid response with the need for accuracy and completeness of information. + **Business Acumen** : Balances legal risk with practical solutions that support organizational goals; Ability to anticipate, recognize, and define problems from both a legal and overall corporate perspective, collect data, establish facts, and draw logical and valid conclusions based on sound legal and business judgment. + **Communication Excellence** : Translates complex legal concepts into clear, actionable guidance for non-legal stakeholders; Effective written and verbal communication skills with demonstrated ability to effectively address all levels of in-house or provider representatives. + **Ownership & Accountability** : Ability to independently set and communicate aggressive, achievable, prioritized goals and timelines to internal customers regarding delivery of deliverables; Drives projects to completion in a timely manner with minimal oversight. Strong initiative and ability and willingness to learn and seek information. + **Adaptability** : Thrives in a fast-paced environment with evolving priorities and regulatory landscape. + High attention to detail, organizational skills, and ability to meet demanding deadlines. + Proficiency with Microsoft Office Suite and contract management tools. **Basic Qualifications:** + JD and active bar admission in at least one U.S. jurisdiction. + 7+ years of experience, drafting, reviewing, and negotiating complex commercial agreements, including SaaS, technology, cloud services, and healthcare-related contracts. + 3+ years of direct experience supporting ecosystem partnerships in a SaaS or healthcare technology environment. + Demonstrated expertise in healthcare regulations (e.g., anti-kickback, false claims, HIPAA, HITECH, FDA, CMS) and their application to SaaS and cloud solutions, including demonstrated ability to issue-spot and escalate potential anti-kickback, false claims, or other healthcare regulatory risks arising from third-party partnerships. + Experience negotiating and advising on cloud services agreements (AWS, Azure, Google Cloud) and ecosystem partnership agreements (co-marketing, co-development, distribution, reseller, data transfer, licensing, etc.) including SLAs, data security, and compliance provisions. + Proven ability to develop and implement contract templates, playbooks, and legal processes tailored to ecosystem partnership agreements. + In-house legal experience. **Preferred Qualifications:** + Healthcare industry experience is strongly preferred; pharmacy industry experience is a significant differentiator, particularly experience supporting partnerships, data sharing, commercialization, or go-to-market models in regulated pharmaceutical environments. **Work Environment:** + Remote work environment + Flexibility in working hours as needed + Occasional travel ManpowerGroup is committed to providing equal employment opportunities in a professional, high quality work environment.
