Description Robert Half is partnering with an established boutique transactional law firm in Orange County. This firm has over 25 years of experience specializing in transactional law and estate planning. This role emphasizes mergers and acquisitions (M& A), general business transactions, employment advice, and client relationship management. Responsibilities: u2022 Work on mergers and acquisitions (M& A) transactions, including conducting due diligence, drafting and negotiating agreements, and overseeing deal closings. u2022 Provide strategic counsel on M& A structuring, regulatory compliance, and risk management. u2022 Advise clients on business transactions such as entity formation, securities filings, joint ventures, and corporate reorganizations. u2022 Draft, review, and negotiate legal documents, including purchase agreements, shareholder agreements, and employment contracts. u2022 Address employment-related matters, such as preparing workplace policies and handbooks, and providing guidance on hiring and terminations. u2022 Conduct legal research and analysis to support transactional work and provide accurate recommendations. u2022 Collaborate with internal teams and clients to identify legal risks and propose solutions. u2022 Cultivate strong client relationships to understand business objectives and deliver tailored legal services. u2022 Meet a monthly billable hour requirement of 120 hours while maintaining high-quality work. u2022 Contribute to the firm's growth by bringing in client referrals and earning bonus incentives. Requirements u2022 Active attorney license in the state of California. u2022 Proven experience in transactional law, particularly mergers and acquisitions (M& A). u2022 Strong knowledge of corporate law, including entity formation and securities compliance. u2022 Exceptional drafting and negotiation skills for a variety of business agreements. u2022 Ability to conduct legal research and provide clear, actionable counsel. u2022 Experience advising on employment matters, including workplace policies. u2022 Excellent communication and interpersonal skills to manage client relationships effectively. u2022 Strong organizational skills to handle multiple transactions and meet deadlines.
