Associate

Represent sponsors of private investment funds regarding private funds, co-investment vehicles and sidecars, across a wide variety of strategies, including real estate, private equity, and venture capital. Advise clients on the lifecycle of the fund vehicles, including formation, ongoing operations, regulatory strategy, compliance and structuring. Drafting, reviewing and negotiating with investors regarding key fund documents, including limited partnership agreement, private placement memoranda, subscription agreements, side letters, and REIT preferred offering documents. Coordinate with tax, ERISA, and regulatory specialists to advise the client. Domestic travel required up to 10%. Telecommuting permitted up to 40%.Requirements: The position requires a Juris Doctor degree (or foreign equivalent) in Law or in a related field and 2 years of experience in the job offered or in an Associate-related occupation. Position requires admission to NY bar. Position requires demonstrable experience in the following: Extensive experience working in teams. Working in a comparable law firm environment. Managing substantial components of private investment fund transactions across a variety of asset classes. Structuring and formation of real estate funds, private equity funds, or venture capital funds, including drafting of fund documents. Negotiation with limited partners on behalf of fund sponsors. Structuring general partner and management companies. Working knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940 and regulatory aspects of private funds.
