In House Counsel

Description We are looking for a skilled and experienced In House Counsel to join a prominent company in the Cincinnati area. This role requires expertise in corporate law and investment-related legal matters, including securities law and private fund formation. The position offers an exciting opportunity to contribute to complex transactions and provide strategic legal guidance. Responsibilities: u2022 Advise on corporate legal matters, including mergers and acquisitions, private fund formation, and investment-related issues. u2022 Ensure compliance with securities laws and oversee regulatory filings with relevant authorities. u2022 Provide counsel on structuring and managing private investment funds. u2022 Collaborate with internal teams to support strategic business initiatives and transactions. u2022 Draft, review, and negotiate contracts and agreements related to corporate and investment activities. u2022 Conduct legal risk assessments and develop strategies to mitigate potential liabilities. u2022 Stay updated on industry regulations and advise on their impact on business operations. u2022 Represent the organization in legal proceedings and negotiations when required. u2022 Work closely with external counsel on specialized legal matters. u2022 Offer strategic legal advice to senior management, ensuring alignment with organizational goals. Requirements u2022 Juris Doctorate from accredited law school required. Admitted to a US state bar in good standing. u2022 Minimum of 5 years of legal experience, preferably in corporate law, securities law, or investment law. u2022 Proven expertise in private fund formation and general private investment matters. u2022 Strong knowledge of securities regulations and filings. u2022 Experience handling mergers and acquisitions (M& A) transactions. u2022 Background in corporate law at a larger firm or within a corporate environment. u2022 Exceptional analytical and problem-solving skills. u2022 Ability to manage multiple priorities and deadlines effectively. u2022 Strong communication and negotiation skills for collaboration with internal and external stakeholders.
