Corporate Paralegal

Description We are looking for an experienced Corporate Paralegal to join our legal team in Dallas, Texas. This role is essential in supporting attorneys within the corporate section of the firm, focusing on entity formation, corporate governance, transactional closings, and ensuring compliance with legal requirements. The ideal candidate will bring a proactive approach, exceptional organizational skills, and knowledge of corporate legal practices in a law firm setting. Responsibilities: u2022 Prepare and file formation documents for corporations, limited liability companies, and partnerships across various jurisdictions. u2022 Manage and maintain corporate records, including minute books, stock ledgers, and entity management databases. u2022 Draft and file annual reports, amendments, qualifications, dissolutions, mergers, and other corporate filings. u2022 Assist with due diligence by conducting searches, reviewing corporate documents, and summarizing contracts. u2022 Coordinate transactional closings by preparing closing binders, signature pages, and organizing document execution. u2022 Conduct legal research using government databases, such as the Secretary of State's website. u2022 Draft and file financing statements and amendments to ensure compliance with filing deadlines. u2022 Communicate with clients, registered agents, and government agencies to obtain and deliver necessary information. u2022 Support attorneys by tracking timelines, deliverables, and preparing board and shareholder resolutions. u2022 Ensure entities remain in good standing across jurisdictions and assist with meeting minutes and consents.
