We want your knowledge and expertise Job Summary and Qualifications Work with Parallon Managing Counsel, Associate Managing Counsel, other Parallon legal counsel, HCA legal counsel, outside counsel, and Parallon business owners to provide general counsel services with a primary focus on contract drafting, review, and negotiation in the general commercial and merger and acquisition support areas. In addition to giving general counsel advice for a variety of ad hoc projects, also provide regulatory and compliance support, negotiate with opposing parties on terms for agreements, and consult on issues related to agreements with potential and existing clients, suppliers of products, services, and software used by Parallon and its subsidiaries. What you will do in this role : + Draft agreements and templates; work with contract analysts and legal administrative staff to support electronic contract management database. + Coordinate with internal and external business clients to draft legal documents and negotiate mutually acceptable language; assist clients in finalizing documents for signatures; draft breach notices, demand letters, and termination letters in conjunction therewith. + Provide legal support and contract interpretation for client and vendor contracts, including parent company merger and acquisition support. + Assist in the development of Parallon policies and practices and provide legal advice on compliance related issues. + Advise Parallon entities on various aspects of the law and related regulations, including copyright and trademark, antitrust, banking, FDCPA, TCRA, TCPA, FCRA, various banking laws and related state laws. + Work with outside counsel on variety of transactional and regulatory issues. + Special projects as assigned by Managing Counsel or Associate Managing Counsel. What qualifications you will need: + JD from accredited law school. + Minimum ten (10) years legal experience; experience in drafting and negotiating contracts; vendor and outsourcing agreements preferred; ideal candidate will have substantial experience in general commercial and mergers and acquisition-related transactional work, as well as regulatory experience + License to practice law in good standing Parallon ( provides full-service revenue cycle management, or total patient account resolution, for HCA Healthcare.
