Senior Counsel - Corporate & SecuritiesThis position is a senior counsel role and will be part of Cardinal Health’s corporate legal team focusing on securities reporting work and other corporate matters. This role will be responsible providing legal advice, counsel and related services to Cardinal Health’s corporate function in all aspects of securities and corporate work.What the Corporate legal team contributes to Cardinal HealthThe corporate legal team provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to enable the company to effect its business strategies and protect the organization's assets, operations and reputation. This function provides legal counsel related to corporate securities and governance, and transactional support, among other areas.ResponsibilitiesAssist in the preparation of SEC filings, including routine filings such as Forms 10-K, 10-Q, 8-K and Proxy, and other securities law matters, including research, drafting and coordination with internal stakeholdersProvide legal advice on disclosure matters, including earnings releases, disclosure related to strategic transactions and other investor and media communications to ensure compliance with applicable regulations and standardsAssist with certain corporate governance matters, such as the Annual Shareholder Meeting, analysis of Director Independence and Related Person Transaction standards, preparing or reviewing resolutions or other internal approval communicationsAdvise on certain executive compensation and benefits plans matters, including disclosure implications related theretoConduct legal research and stay updated on securities laws and regulations that may be applicable to the companyAssist with certain corporate transactions as needed, including internal reorganizations, credit facilities or capital markets transactions, discrete purchases or sales of assets, etc.QualificationsJuris Doctorate degree with a record of high academic achievementLicense to practice law in Ohio or licensed in the jurisdiction in which you live and work4-7 years of experience in a nationally recognized law firm or comparable in-house experience preferredExperience working on public company reporting, including Forms 10-K, 10-Q and 8-K preferredExperience with executive compensation and related disclosure matters preferredExcellent communication skills, both written and oralAbility to work independently while acting with an appropriate sense of urgency in a fast-paced environmentGood business acumen and ability to provide advice with a strategic, commercial focusStrong personal ethicsWhat is expected of you and others at this levelUtilizes broad and deep knowledge and strong professional judgmentWorks on and may lead highly complex projects of large scope and visibilityProjects are typically cross-functional and have significant long-term impactProvides solutions which set precedentConsults with management to determine project objectives with long-term implicationsLocation:Located within driving distance of our Dublin, Ohio headquarters or willing to relocate.Anticipated salary range: $123,400-$176,100Bonus eligible: YesBenefits: Cardinal Health offers a wide variety of benefits and programs to support health and well-being.• Medical, dental and vision coverage• Paid time off• Health savings account (HSA)• 401k savings plan• Access to wages before pay day with myFlexPay• Flexible spending accounts (FSAs)• Short- and long-term disability coverage• Work-Life resources• Paid parental leave• Healthy lifestyle programsApplication window anticipated to close: 03/20/2026 if interested in opportunity, please submit application as soon as possible.The salary range listed is an estimate.
