Description Our client is a premier law firm seeking a detail-oriented Paralegal to join their nonprofit law team in Cincinnati, Ohio. This role involves supporting attorneys and clients in managing corporate filings, legal document preparation, and governance matters related to charitable organizations. The ideal candidate will thrive in a fast-paced environment, demonstrating exceptional organizational skills and professionalism. Responsibilities: u2022 Prepare and monitor filings related to corporate status and charitable solicitation authorization for nonprofit organizations. u2022 Coordinate external services, including statutory agent services, lien searches, and state or securities filings. u2022 Communicate effectively with outside counsel, filing agents, and clients under attorney direction. u2022 Maintain and organize internal files, closing materials, and electronic data rooms for assigned cases. u2022 Draft legal documents and correspondence specific to tax-exempt practice groups. u2022 Assist attorneys with diligence matters concerning restricted funds held by charitable organizations. u2022 Process and manage invoices for client disbursements and firm expenses. u2022 Prioritize tasks, track deadlines, and keep the team informed of progress. u2022 Facilitate the Docusign signature process and compile signature pages. u2022 Support the formation and governance of nonprofit corporations and other business entities, including preparing organizational binders and drafting Articles of Incorporation. Requirements u2022 Paralegal certification and legal experience preferred. u2022 Minimum of one year of experience in a law firm, corporate legal department, or nonprofit organization. u2022 Proficiency in Microsoft Office 365 applications, including Word, Outlook, and Excel. u2022 Familiarity with legal research tools such as WestLaw and Lexis/Nexis. u2022 Skilled in using document management systems like iManage Desksite and electronic signature tools like Docusign. u2022 Excellent attention to detail and ability to maintain confidentiality. u2022 Knowledge of charitable organizations and corporate governance processes. u2022 Notary certification or willingness to obtain one is desirable.
